Embedded License. The Software contains a click to accept license visible as part of the installation process. In that case, the agreement you accept as part of the Software installation process governs your use of the Software.
Embedded License. Partner may market and sublicense the Software only (i) in the Territory (ii) as integrated and embedded as part of the Packaged Platform Applications to represent a single combined offering under an Embedded License (iii) registered for Embedded License based on the registration form made available by SAP to Partner under an Embedded License described below, (v) only pursuant to the licensing and use restrictions as set forth in the Agreement and the Software Use Rights, (vi) and only available to Partner if Partner has licensed an applicable Innovation Pack from SAP as set forth in the Main Agreement. Any Third Party Products contained in or provided with the Software may only be used as part of the Software. Partner shall not create a Modification of any third party products embedded in SAP Software or otherwise use third party products embedded in SAP Software on a standalone basis. It is the intention of the parties that Platform Applications that are software must add significant and primary additional functionalities to the Software in order to qualify as Platform Applications under the Agreement. Partner warrants that the Platform Applications provide significant and primary additional functionalities to the Software.

  • Inbound Licenses Except as disclosed on the Schedule, Borrower is not a party to, nor is bound by, any license or other agreement that prohibits or otherwise restricts Borrower from granting a security interest in Borrower’s interest in such license or agreement or any other property.

  • Software License The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE is licensed, not sold.

  • Outbound Licenses Part 2.7(d) of the Disclosure Schedule accurately identifies each Contract pursuant to which any Person has been granted any license under, or otherwise has received or acquired any right (whether or not currently exercisable) or interest in, any Seller IP. The Seller is not bound by, and no Seller IP is subject to, any Contract containing any covenant or other provision that in any way limits or restricts the ability of the Seller to use, exploit, assert, or enforce any Seller IP anywhere in the world.

  • Source Code License Subject to the terms and conditions of this ▇▇▇▇, if You separately acquire a Source Code License, You are licensed to use the Source Code. A separate independent Source Code License is also required for each affiliate or subsidiary using the SOFTWARE. i. You expressly do not have, and are not granted the right to use the Source Code to create any derivative works. ii. You expressly do not have, and are not granted the right to modify the SOFTWARE or its Source Code in any way unless the appropriate Source Code modification license has been purchased. iii. Under no circumstances may the Source Code or any portion thereof be distributed, disclosed or otherwise made available to any third party outside of Your organization. iv. GC shall retain all rights, title and interest in and to the licensed Source Code, and all GC updates, modifications or enhancements thereof. Nothing herein shall be deemed to transfer any ownership or title rights in and to the licensed Source Code from GC to You. v. THE SOURCE CODE IS PROVIDED TO YOU AS IS. GC DOES NOT AND SHALL NOT PROVIDE YOU WITH ANY TECHNICAL SUPPORT, OR ANY AUTOMATIC UPDATES OR UPGRADES FOR YOUR SOURCE CODE LICENSE.

  • Intellectual Property License 20.1 Any Intellectual Property originating from or developed by a Party shall remain in the exclusive ownership of that Party. 20.2 Except at otherwise expressly provided in this Agreement, no license under patents, copyrights or any other Intellectual Property right (other than the limited license to use consistent with the terms, conditions and restrictions of this Agreement) is granted by either Party or shall be implied or arise by estoppel with respect to any transactions contemplated under this Agreement.
