Enforceability, etc. This Agreement and each of the other Operative Documents to which the Facility Lessee is or will be a party have been, or when executed and delivered will be, duly authorized, executed and delivered by all necessary action by the Facility Lessee, and, assuming the due authorization, execution and delivery by each other party thereto, this Agreement constitutes and, when executed and delivered, the other Operative Documents to which the Facility Lessee is or will be a party will constitute the legal, valid and binding obligations of the Facility Lessee, enforceable against the Facility Lessee in accordance with its terms, except as the same may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or other similar laws affecting the rights of creditors generally and by general principles of equity.
