Enforceability Opinion. The Company will use its Best Efforts to deliver to Investor promptly following the First Closing Date an opinion of the Company's Delaware counsel that this Agreement, the Registration Rights Agreement and the Warrants constitute the legally valid and binding obligations of the Company and are enforceable under Delaware law.
