ENGINEERING AND OPERATING COMMITTEE. 14.1 The Engineering and Operating Committee shall: 14.1.1 Act as liaison among the Parties hereto in matters relating to the Connecting Facilities, the 5AA Bank, and the SCE-owned Eldorado 220 kV Switchyard. 14.1.2 Review and approve Operating Agent's estimate of the annual capital expenditures budget and the annual maintenance budget relating to the Connecting Facilities to be submitted by Operating Agent to the Parties at the same time and place as other budgets are to be submitted as set forth in the Operating Agreement. 14.1.3 Have no authority to modify any of the provisions of this Agreement. No action shall be taken by the Engineering and Operating Committee in respect to the Connecting Facilities unless such action is agreed to by all of the Eldorado Co-Owners acting through their representatives on the Engineering and Operating Committee pursuant to the terms of the Operating Agreement. Any agreement, action, or determination made by the Engineering and Operating Committee in respect to the Connecting Facilities shall be reduced to writing and shall become effective when signed by the Engineering and Operating Committee representative of each Eldorado Co-Owner. 14.2 Connecting Participant shall, in a timely manner, provide Operating Agent with all applicable information relating to all interconnection requests, interconnection study plans, and study results for any proposed interconnection of additional transmission and/or generating facilities to the SCE-owned Eldorado 220 kV Switchyard. Operating Agent shall then promptly provide all such information to the Engineering and Operating Committee. Connecting Participant shall study the impact of any interconnection to the SCE 220 kV Switchyard or modification thereof on the Eldorado System and ensure mitigation thereof at no expense to the Eldorado Co-Owners.

ENGINEERING AND OPERATING COMMITTEE. 14.1 The Parties shall establish an Engineering and Operating (E&O) Committee. This “E&O Committee” shall jointly develop and modify, as necessary, operating procedures and engineering planning matters required to implement this Agreement. The E&O Committee shall:
14.1.1 Act shall consist of one representative designated in writing by each Party. Each Party shall also designate an alternate who may act instead of a representative at the option of that Party, and an NCPA Member Customer may designate NCPA to act as liaison among its alternate. Any Party may at any time change its representatives or alternate on the E&O Committee and shall promptly notify the other Parties hereto of any change in matters relating designation. Any representative, by written notice to the Connecting Facilitiesother Parties, may authorize its alternate to act temporarily in its place. Each member of the 5AA BankE&O Committee may invite other members of its organization or others, as its advisors, to attend meetings of the E&O Committee. The E&O Committee shall establish procedures for the coordination and operation of the Parties’ Electric Systems, including, but not limited to, providing for the coordination of maintenance schedules and operation of the Parties’ Electric Systems as may be required to maintain the reliability and power quality of the interconnected Electric Systems, minimize outages, reduce losses, maintain voltage levels, and the SCE-owned Eldorado 220 kV Switchyard.
14.1.2 Review minimize reactive interchanges. The E&O Committee shall also be responsible for examining and approve Operating Agent's estimate of the annual capital expenditures budget and the annual maintenance budget relating to the Connecting Facilities to be submitted by Operating Agent making recommendations to the Parties at for Upgrade Facilities in order to:
(i) ensure that the same time Point(s) of Interconnection are operated in accordance with Good Utility Practice;
(ii) determine necessary additions or modifications to equipment or operating procedures to ensure that the Parties’ Electric System reliability and place as other budgets are service to its customers will not be adversely affected;
(iii) determine the studies that need to be submitted as set forth performed and the manner in which the Operating Agreement.
14.1.3 Have no authority to modify any Cost of the provisions of this Agreement. No action such studies shall be taken by allocated unless the Engineering and Operating Committee in respect to CAISO Tariff, PG&E TO Tariff or PG&E WD Tariff provides otherwise; and
(iv) make recommendations for the Connecting allocation of Costs associated with the Upgrade Facilities unless such action is agreed to by all of the Eldorado Co-Owners acting through their representatives on the Engineering and Operating Committee pursuant to the terms of the Operating Agreement. Any agreementCAISO Tariff, action, PG&E TO Tariff or determination made by the Engineering and Operating Committee in respect to the Connecting Facilities shall be reduced to writing and shall become effective when signed by the Engineering and Operating Committee representative of each Eldorado Co-OwnerPG&E WD Tariff provides otherwise.
