Enterprise Customers’ Additional Rights. Notwithstanding anything to the contrary in this Schedule, for distributions to Enterprise Customers only, Microsoft grants to Company the following non-exclusive rights. These rights are subject to all of the terms in this Schedule, and all additional terms, conditions and requirements provided by Microsoft to Company, including the key usage agreement provided on Partner Portal, remaining satisfied at all times. Subject to such compliance, Company may exercise either of the following two preinstallation options for Enterprise Customers: (a) Company may opt not to preinstall a Product or an Image on the Customer System; in that case, Company must: (i) distribute Customer Systems to an Enterprise Customer and install the Image created by Company on Enterprise Customer premises by Company employees or Contractors, or (ii) distribute Customer Systems, with the applicable COA permanently affixed to it, or If this is not physically possible or practical, Company may attach the COA to one of the following alternatives: the APM, the License Terms, recovery media, or a front cover of the Company’s End User manual Distributed with the Customer System, to Enterprise Customer and have Enterprise Customer (a) As an alternative to VL Upgrade Software scenarios, which are covered in Schedule 8 (VL Upgrade Images), Enterprise Customer may create an Image (a “Custom Image”) for preinstallation by Company on, and distribution with, the Customer System as requested in writing by the Enterprise Customer. To enable an Enterprise Customer to create the Custom Image, Company may provide one copy of the Microsoft Binaries directly to the Enterprise Customer either on a FSD or OA Activated External Media. Company may distribute the FSD or the External Media to the Enterprise Customer either with or without the Customer System. The Enterprise Customer may not modify the Microsoft Binaries. Company must notify the Enterprise Customer that the Microsoft Binaries may only be used for testing, evaluating and creating its Custom Image. The Enterprise Customer must return the Custom Image directly to Company on the FSD or External Media for preinstallation by Company on the Customer System. The following additional restrictions apply to Custom Images: (i) Distribution of Customer Systems. Company may distribute Customer Systems installed with Custom Images directly to an Enterprise Customer or through Company’s Channel Partner, under Section 10.1 (Distribution through Channel Partners)...

  • Approved Services; Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at ▇▇▇▇://▇▇▇.▇▇▇▇▇.▇▇▇/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.

  • Interconnection Customer Obligations The Interconnection Customer shall maintain the Large Generating Facility and the Interconnection Customer’s Interconnection Facilities in a safe and reliable manner and in accordance with this LGIA.

  • Customer Focus Is dedicated to meeting the expectations and requirements of internal and external customers; gets first hand customer information and uses it for improvements in products and services; acts with customers in mind; establishes and maintains effective relationships with customers and gains their trust and respect

  • Customer Ownership Customer retains all right, title and interest in and to all Customer Data. Customer is responsible for the acquisition, accuracy and legality of Customer Data. These Terms do not grant PROS any ownership rights to Customer Data.

  • Interconnection Customer Compensation If the CAISO requests or directs the Interconnection Customer to provide a service pursuant to Articles 9.6.3 (Payment for Reactive Power) or 13.5.1 of this LGIA, the CAISO shall compensate the Interconnection Customer in accordance with the CAISO Tariff.
