Common use of Entities Owned Clause in Contracts

Entities Owned. Schedule 1.1.10 hereto sets forth the name of any corporation, partnership, firm, association, business organization, entity or enterprise owned wholly or in part by the Company directly or indirectly. To the best of their knowledge and belief, except as disclosed in Schedule 1.1.10, all the ownership interests of the Company in such entities are directly or ultimately owned by the Company, free and clear of all liens, encumbrances or adverse claims of every kind, and all such ownership interests are duly and validly authorized and issued, fully paid and nonassessable, and were not issued in violation of the preemptive rights of any past or present stockholder.
