Entitlements Upon a Termination with Good Reason. If the Executive terminates his employment with Good Reason, the termination shall be effective at the end of the thirty-day cure period. Upon such termination of his employment with Good Reason in accordance with Section 7.2.1 hereof prior to Change of Control (as defined in Section 8.1.1) or a Corporate Transaction (as defined in Section 8.1.2), the Executive shall, subject to the Executive’s execution of a release and non-disparagement agreement in a form acceptable to the Company, have the same entitlements as provided under Section 6.2 for a termination by the Company without Cause.

Entitlements Upon a Termination with Good Reason. If the Executive terminates his employment with employment, as a result of the event identified in his Section 7.2.1 notice as grounds for a Good Reason termination, within thirty (30) days following the Company’s failure to cure that event prior within the applicable cure period, then such termination shall constitute a termination for Good Reason, the termination shall be effective at the end of the thirty-day cure period. Upon such termination of his employment with for Good Reason in accordance with Section 7.2.1 hereof prior to a Change of Control (as defined in Section 8.1.18.1) or a Corporate Transaction (as defined in Section 8.1.2), the Executive shall, subject to the Executive’s execution of a release entitlement to termination payments and non-disparagement agreement in a form acceptable to the Company, have severance benefits shall be governed by the same entitlements as provided under provisions set forth in Section 6.2 for a termination by the Company without Cause, including the necessity of an effective Release and continued compliance with the non-competition covenants set forth in Section 11 as express conditions for the additional severance benefits specified in Section 6.2.2.
