Common use of Entity Authority Clause in Contracts

Entity Authority. (a) If the Investor is a corporation, partnership, company, trust, employee benefit plan, individual retirement account, K▇▇▇▇ Plan, or other tax-exempt entity, it is authorized and qualified to become an investor in the Company and the person signing this Subscription/Registration Rights Agreement on behalf of such entity has been duly authorized by such entity to do so. (b) The undersigned represents and warrants to the Company that (i) if an entity, its principal place of business and executive offices are located in the State set forth on the Signature Page for Entity Investors and (ii) if an individual, his or her state of residency is the State set forth on the Signature Page for Individual Investors.
