Entity Power and Authority. Each Progressive Entity has the corporate power or limited liability company power, as applicable, and authority to own and hold its properties and to carry on its business as now conducted, including the right to use the names of each of the Progressive Entities, and any fictitious names currently being used in the geographic area presently served by it. Entity Power and Authority. The Company has the power and authority to execute, deliver and perform this Agreement, and this Agreement is a valid and binding obligation of the Company, enforceable in accordance with its terms, except as such enforcement may be limited by applicable bankruptcy, insolvency, moratorium or similar laws affecting the rights of creditors generally.

  • Power and Authority The Servicer has the corporate power and authority to execute and deliver this Agreement and to carry out its terms; and the execution, delivery and performance of this Agreement have been duly authorized by the Servicer by all necessary corporate action.

Upon their execution and delivery, this Subscription Agreement and other agreements required hereunder will be valid and binding obligations of Subscriber, enforceable in accordance with their terms, except (a) as limited by applicable bankruptcy, insolvency, reorganization, moratorium or other laws of general application affecting enforcement of creditors’ rights and (b) as limited by general principles of equity that restrict the availability of equitable remedies.
