Common use of Entity Purchasers Clause in Contracts

Entity Purchasers. If the Purchaser is not a natural person, the Purchaser hereby certifies that: (i) it is “one person” for purposes of Section 3(c)(1) of the Investment Company Act; (ii) it was not formed for the purpose of investing in the Company nor did or will the shareholders, members, partners or grantor, as the case may be, of the Purchaser entity contribute additional capital for the purpose of purchasing interests; and (iii) its shareholders, partners, beneficiaries or members are not permitted to opt in or out of particular investments made by the Purchaser, and each such person participates in investments made by the Purchaser pro rata in accordance with its interests in the Purchaser.
