Enurement; Assignment Sample Clauses
The "Enurement; Assignment" clause defines how the rights and obligations under a contract extend to parties beyond the original signatories and whether those rights and obligations can be transferred. Typically, this clause states that the agreement is binding on and benefits the parties and their respective successors or permitted assigns, and it may restrict or permit the assignment of the contract to third parties, such as in the case of a merger or sale of a business. Its core function is to clarify who can benefit from or be bound by the contract in the future and to control the transferability of contractual rights and duties, thereby preventing unwanted or unauthorized assignments.
