Common use of Escrow Agent Compensation; Expense Reimbursement Clause in Contracts

Escrow Agent Compensation; Expense Reimbursement. (i) The Issuer shall pay to Escrow Agent for services to be performed by it under this Agreement in accordance with the Escrow Agent’s fee schedule attached hereto as Exhibit I. The Escrow Agent shall be paid any compensation owed to it directly by the Issuer and shall not disburse from the Escrow Account any such amounts, nor shall the Escrow Agent have any interest in the Escrow Account with respect to such amounts. The provisions of this clause (i) shall survive the termination of this Agreement and survive the resignation or removal of the Escrow Agent. (ii) The Issuer shall reimburse the Escrow Agent upon request for all reasonable expenses, disbursements and advances incurred or made by the Escrow Agent in implementing any of the provisions of this Agreement, including compensation and the reasonable expenses and disbursements of its counsel. The Escrow Agent shall be paid any such expenses owed to it directly by the Issuer and shall not disburse from the Escrow Account any such amounts, nor shall the Escrow Agent have any interest in the Escrow Account with respect to such amounts. The provisions of this clause (ii) shall survive the termination of this Agreement and survive the resignation or removal of the Escrow Agent.

The Escrow Agent shall be paid any compensation owed to it directly by the Issuer Borrower and shall not disburse from the any Escrow Account any such amounts, nor shall the Escrow Agent have any interest in the Escrow Account Accounts with respect to such amounts. The provisions of this clause (i) shall survive the termination of this Agreement and survive the resignation or removal of the Escrow Agent. The Parties further agree to the disclosures and agreements set forth in Schedule II. (ii) The Issuer Borrower shall reimburse the Escrow Agent upon request for all reasonable and documented out-of-pocket expenses, disbursements and advances incurred or made by the Escrow Agent in implementing any of the provisions of this Agreement, including compensation and the reasonable and documented out-of-pocket expenses and disbursements of its counselcounsel (limited to one outside counsel and one local counsel in each relevant jurisdiction). The Escrow Agent shall be paid any such expenses owed to it directly by the Issuer Borrower and shall not disburse from the any Escrow Account any such amounts, nor shall the Escrow Agent have any interest in the Escrow Account Accounts with respect to such amounts. The provisions of this clause (ii) shall survive the termination of this Agreement and survive the resignation or removal of the Escrow Agent.

Escrow Agent Compensation; Expense Reimbursement. (i) The Company or the Escrow Issuer shall pay to the Escrow Agent for services fees as separately agreed between the Company or the Escrow Issuer and the Escrow Agent upon execution of this Agreement, which unless otherwise agreed in writing, shall be as described in Schedule 2. The Parties agree that, notwithstanding anything herein to be performed the contrary, to the extent any Party deposits such compensation into an account governed by it under this Agreement Agreement, Escrow Agent shall have the right to withdraw such compensation from such account. Each of the Parties further agrees to the disclosures and agreements set forth in accordance with Schedule 2. (ii) The Company or the Escrow Issuer shall reimburse the Escrow Agent’s fee schedule attached hereto , upon request, for all reasonable and documented expenses, disbursements and advances incurred or made by the Escrow Agent in implementing any of the provisions of this Agreement, including compensation and the reasonable and documented fees, expenses and disbursements of its counsel. Except as Exhibit I. The set forth in Section 3(b) and Section 3(d), the Escrow Agent shall be paid any compensation such expenses owed to it directly by or on behalf of the Company or the Escrow Issuer and shall not disburse from the Escrow Account any such amounts, nor shall the Escrow Agent have any interest in the Escrow Account with respect to such amounts. The provisions of this clause (ic) shall survive the termination of this Agreement and survive the resignation or removal of the Escrow Agent. (ii) The Issuer shall reimburse the Escrow Agent upon request for all reasonable expenses, disbursements and advances incurred or made by the Escrow Agent in implementing any of the provisions of this Agreement, including compensation and the reasonable expenses and disbursements of its counsel. The Escrow Agent shall be paid any such expenses owed to it directly by the Issuer Issuers and shall not disburse from the Escrow Account any such amounts, nor shall the Escrow Agent have any interest in the Escrow Account with respect to such amounts. The provisions of this clause (ii) shall survive the termination of this Agreement and survive the resignation or removal of the Escrow Agent.
