Common use of Escrow Agent Fees and Expenses Clause in Contracts

Escrow Agent Fees and Expenses. The Escrow Agent shall be paid for its services hereunder in accordance with Escrow Agent's fee schedule as attached as Schedule I hereto as in effect from time to time, together with all expenses incurred by the Escrow Agent in connection with the performance of its duties and otherwise in connection with the preparation, operation, administration and enforcement of this Escrow Agreement, including, without limitation, attorneys' fees, brokerage costs and related expenses incurred by the Escrow Agent from income earned on the Escrow Funds. The Escrow Agent's fees and expenses, as identified in the immediately preceding sentence, shall be paid first from the income earned on the Settlement Amount, and, to the extent such income is not sufficient to pay the Escrow Agent's fees and expenses, then from the funds on deposit in the Escrow Account.
