Common use of Escrow Agent's Fees Clause in Contracts

Escrow Agent's Fees. In consideration of the services to be provided by the Escrow Agent pursuant to this Escrow Agreement, Xyratex agrees to pay the Escrow Agent its fees as set forth in Schedule 1 plus any VAT thereon as amended from time to time by written agreement between Xyratex and the Escrow Agent and to reimburse the Escrow Agent for all reasonable expenses incurred by the Escrow Agent in the performance of its duties under this Escrow Agreement provided that where reasonably practicable the Escrow Agent shall obtain the prior written consent of Xyratex before it incurs any such expenses.
