Escrow Provisions Regarding Deposit. 2.3.1 The Deposit shall be held and applied by Escrow Agent in accordance with the Escrow Agreement among Escrow Agent, Seller and Purchaser being executed on the Effective Date in the form of Exhibit B (the “Escrow Agreement”). 2.3.2 The tax identification numbers of the parties shall be furnished to Escrow Agent upon request. 2.3.3 The parties shall deliver to Escrow Agent an executed copy of this Agreement.

Escrow Provisions Regarding Deposit. 2.3.1 The Deposit shall be held and applied by Escrow Agent in accordance with the applicable terms of this Agreement, including Section 2.2.1.1 and Section 9.2., and that certain Escrow Agreement among Escrow Agent, Seller Sellers and Purchaser being executed on the Effective Date in the form of Exhibit B (as the same may be supplemented, amended, restated or otherwise modified from time to time, the “Escrow Agreement”). 2.3.2 The tax identification numbers of the parties shall be furnished to Escrow Agent upon request. 2.3.3 The parties shall deliver to Escrow Agent an executed copy of this Agreement.
