Common use of Establish and Maintain Clause in Contracts

Establish and Maintain. The EBA, acting through the Committee, shall establish and maintain the New Plan for the purpose of providing Retiree Medical Benefits to the Class and the Covered Group as set forth in this Settlement Agreement. The Committee shall begin administering the New Plan so as to be able to provide Retiree Medical Benefits for the Class and the Covered Group with respect to claims incurred on or after the Implementation Date. The Committee established the New VEBA on October 16, 2008. The Approval Order shall provide for the amendment of the New VEBA as provided in Exhibit D attached to this Settlement Agreement, such amendment to be effective as soon as administratively practicable after the issuance of the Approval Order. The New Plan shall be ERISA-covered and the New VEBA shall meet the requirements of Section 501(c)(9) of the Code. All payments to the New Plan and the New VEBA made or caused to be made by Newco under the Settlement Agreement are payments pursuant to section 302(c)(2) of the Labor Management Relations Act, 1947, as amended (“LMRA”), 29 U.S.C. 186(c)(2).
