Estimated Purchase Price Calculation Statement. Prior to the Closing, Seller has delivered to Purchaser a written statement (the “Estimated Purchase Price Calculation Statement”) setting forth (a) Seller’s good faith estimate of Selling Expenses, (b) Seller’s good faith estimate of the amount of Closing Date Indebtedness, (c) Seller’s good faith estimate of the amount of Closing Cash, and (d) the calculation of the estimated Aggregate Purchase Price based upon the foregoing. Schedule 2.2 sets forth the format for the calculation of the amounts described in this Section 2.2 and the payment to be made pursuant to Section 3.2(b).
