Events of Default and Defaults Clause Samples

The "Events of Default and Defaults" clause defines specific circumstances or actions that constitute a breach of contract significant enough to trigger certain remedies for the non-breaching party. Typically, this clause lists events such as failure to pay, insolvency, or violation of key obligations, and may distinguish between minor defaults and more serious events of default. Its core practical function is to provide a clear framework for identifying when a party is in serious breach, thereby allowing the other party to take actions such as terminating the agreement or seeking damages, and ensuring both sides understand the consequences of non-compliance.
