Except for the Disclosed Matters. the Borrower is unaware that the Borrower or any Subsidiary has any material undisclosed liability (contingent or otherwise). Except for Disclosed Matters, since September 30, 2001, there has been no material adverse change in the business, assets, operations, prospects or condition, financial or otherwise, of the Borrower and the Subsidiaries, taken as a whole.
