Common use of Exception to Right of Indemnification or Advancement of Expenses Clause in Contracts

Exception to Right of Indemnification or Advancement of Expenses. Notwithstanding any other provisions of this Agreement, the Indemnitee shall not be entitled to indemnification or advancement of reasonable Expenses under this Agreement with respect to any Proceeding initiated by such Indemnitee against the Indemnitors other than a proceeding commenced pursuant to paragraph 8.

Exception to Right of Indemnification or Advancement of Expenses. Notwithstanding any other provisions provision of this Agreement, the but subject to Section 11(d), Indemnitee shall not be entitled to indemnification or advancement of reasonable Expenses under this Agreement with respect to any Proceeding initiated brought by Indemnitee, or any claim therein, unless such Indemnitee against Proceeding or such claim shall have been approved by the Indemnitors other than a proceeding commenced pursuant to paragraph 8Board.
