Excessive Bandwidth Consumption Clause Samples

Excessive Bandwidth Consumption. Subscriber acknowledges that: (i) Network is designed for usage by a typical residential user; (ii) bandwidth is a limited, shared resource among Subscriber and other customers of Company; and (iii) computer activity resulting in excessive or sustained bandwidth consumption burdens and may impair the functioning and usability of Network. In consequence, Subscriber agrees that if Company, in its sole discretion, determines that a User is utilizing Network in a manner uncharacteristic of a typical residential user, Company is entitled to: (a) implement Rate Limiting Practices or other technology selected by Company to minimize congestion and/or slow Subscriber’s service for purposes of bandwidth conservation; (b) otherwise adjust, limit, restrict, or suspend Subscriber’s and its Users’ access to Network; (c) require Subscriber to upgrade its service level or pay additional fees in accordance with Company’s then-current, applicable rates and charges for such service; and/or (d) require Subscriber to utilize a specific modem that enables efficient use of Network.
Excessive Bandwidth Consumption. IOTSECURE incurs significant bandwidth cost in providing the Service to Customer. If Customer’s bandwidth consumption materially increases from the beginning of its subscription over such subscription term (measured on a per-Seat basis), Customer agrees to work with ▇▇▇▇▇▇▇▇▇ to agree on a bandwidth reduction plan, or to work with IOTSECURE to renegotiate pricing for the remaining balance of such subscription term. If IOTSECURE and Customer are not able to reach a mutually agreeable solution, IOTSECURE may terminate the remaining subscription term of the Customer without any liability to Customer, except that IOTSECURE shall refund to Customer a pro-rated amount of the service fees in connection with Customer’s subscription for the unused portion (due to IOTSECURE’s termination) of the Customer’s subscription term.

  • Line Outage Costs Notwithstanding anything in the ISO OATT to the contrary, the Connecting Transmission Owner may propose to recover line outage costs associated with the installation of Connecting Transmission Owner’s Attachment Facilities or System Upgrade Facilities or System Deliverability Upgrades on a case-by-case basis.

  • Downtime Each of Zero Hash and ZHLS uses commercially reasonable efforts to provide the Services in a reliable and secure manner. From time to time, interruptions, errors, delays, or other deficiencies in providing the Services may occur due to a variety of factors, some of which are outside of Zero Hash’s and/or ZHLS’ control, and some which may require or result in scheduled maintenance or unscheduled downtime of the Services (collectively, “Downtime”). You understand and acknowledge that part or all of the Services may be unavailable during any such period of Downtime, and you acknowledge that Zero Hash and ZHLS are not liable or responsible to you for any inconvenience or losses to you as a result of Downtime. Following Downtime, you further understand and acknowledge that the prevailing market prices of cryptocurrency may differ significantly from the prices prior to such Downtime.

  • Outputs Analogue and digital outputs of protected content are allowed if they meet the requirements in this section and if they are not forbidden elsewhere in this Agreement..
