Common use of Exchanges of Warrant Certificates Clause in Contracts

Exchanges of Warrant Certificates. Each Warrant Certificate --------------------------------- may be exchanged at the option of the Holder without charge to such Holder thereof when surrendered to the Warrant Agent at the Office properly endorsed in the manner described in subsection 4.1 hereof for another Warrant Certificate(s) of like tenor and representing in the aggregate a like number of Warrants. Thereupon, the Warrant Agent shall countersign and deliver to the person(s) entitled thereto a new Warrant Certificate(s) as so requested. Warrant Certificates surrendered for exchange shall be cancelled by the Warrant Agent. Such cancelled Warrant Certificates shall then be disposed of by such Warrant Agent in a manner satisfactory to the Company.

Such cancelled canceled Warrant Certificates shall then be disposed of by such Warrant Agent in a manner satisfactory to the CompanyCompany and in compliance with applicable SEC rules and regulations.
