Exclusions of Consequential Damages Sample Clauses

The Exclusions of Consequential Damages clause limits a party’s liability by specifying that they are not responsible for indirect or consequential losses arising from a contract breach. This means that damages such as lost profits, loss of business opportunities, or reputational harm, which do not result directly from the breach but occur as a secondary effect, are not recoverable under the agreement. By clearly defining the scope of recoverable damages, this clause helps manage risk and provides predictability for both parties regarding their potential financial exposure.
