Common use of Execution and Consummation Clause in Contracts

Execution and Consummation. Each Party represents and warrants that, as of the date of this Agreement first set forth above, the execution and delivery of this Agreement and the fulfillment of and compliance with the provisions of this Agreement do not and will not conflict with any of the terms, conditions or provisions of its organizational documents or any Law applicable to it, or result in a breach or default under any evidence of its indebtedness or any other agreement or instrument to which it is a party or by which it or any of its property is bound which has a reasonable likelihood of materially and adversely affecting the performance by the Party of any of its obligations under this Agreement.
