Execution and Delivery of Subsidiary Guarantee. The execution by each Subsidiary Guarantor of a supplemental indenture in the form of Exhibit B evidences the Subsidiary Guarantee of such Subsidiary Guarantor, whether or not the person signing as an officer of the Subsidiary Guarantor still holds that office at the time of authentication of any Note. The delivery of any Note by the Trustee after authentication constitutes due delivery of the Subsidiary Guarantee set forth in the Indenture on behalf of each Subsidiary Guarantor.

Each Guarantor hereby agrees that its Subsidiary Guarantee set forth in Section 10.01 hereof will remain in full force and effect notwithstanding any failure to endorse on each Note a notation of such Subsidiary Guarantor, whether or not the person signing as an officer of the Subsidiary Guarantor still holds that office at the time of authentication of any NoteGuarantee. The delivery of any Note by the Trustee Trustee, after the authentication constitutes thereof hereunder, will constitute due delivery of the Subsidiary Guarantee set forth in the this Indenture on behalf of each Subsidiary Guarantorthe Guarantors.
