Common use of Execution and Delivery of Subsidiary Guarantees Clause in Contracts

Execution and Delivery of Subsidiary Guarantees. If Subsidiary Guarantees are endorsed on the Securities, such Subsidiary Guarantees shall include the terms of the Subsidiary Guarantee set forth in Section 1502. If the Company elects to issue any series of Securities with the benefit of a Subsidiary Guarantee, each of the Subsidiary Guarantors hereby agrees to execute its Subsidiary Guarantee, to be endorsed on each Security authenticated and delivered by the Trustee. If the Company elects to issue any Series of Securities with the benefit of a Subsidiary Guarantee, the Subsidiary Guarantee shall be executed on behalf of each respective Subsidiary Guarantor by any of such Subsidiary Guarantor’s Chairman of the Board, Vice Chairman of the Board, Chief Executive Officer, President or one of its Vice Presidents. The signature of any of these persons on the Subsidiary Guarantee may be manual or facsimile.
