Execution and Filing of Merger Documents. At or promptly after the ---------------------------------------- Closing, each party to this Agreement will execute and deliver all documents relating to the Merger required to be executed by them by applicable Federal, state or local Laws in order to validly effectuate the Merger. The parties will use their respective best efforts to cause the Articles of Merger to be filed with the Secretary of State of the State of Alabama simultaneously with or as soon as practicable following the Closing.

Execution and Filing of Merger Documents. At the time of completion of the Closing, OSI, Carrabba's, JVP CORP and KADOW agree to take the following actions: (a) ▇▇ execute and deliver all documents and certificates relating to the Merger required to be executed by them that have not already been so executed and that are required under applicable federal, state and local laws to be filed in order validly to effectuate the Merger; and (b) to cause Articles of Merger to be filed with the Secretary of State of the State of Florida and the Secretary of State of the State of North Carolina and a Certificate of Merger to be issued by each such officer.
