Execution Knowing and Voluntary. Each Party hereto acknowledges and represents that they each (a) have fully and carefully read this Agreement including Exhibit A prior to execution, (b) have been fully apprised by their respective attorneys of the legal effect and meaning of this document and all the terms and conditions hereof, (c) have had the opportunity to make whatever investigation or inquiry deemed necessary or appropriate in connection with the subject matter of this Agreement, (d) have been afforded the opportunity to negotiate as to any and all terms hereof, and (e) is executing this Agreement as a free, knowing, and voluntary act.
