Common use of Execution of Ancillary Agreements Clause in Contracts

Execution of Ancillary Agreements. At or prior to the Closing, (a) the Parties shall enter into the Registration Rights Agreement, (b) the Company shall procure for the Major Shareholder to enter into, and the Purchaser shall enter into, the Tag-Along Agreement, and (c) the Purchaser shall enter into, and the Company shall procure the Company MEMC Shareholders to enter into, the Joint Venture Termination Agreement.
