EXECUTION OF SETTLEMENT AGREEMENT. ▇▇▇▇▇▇▇▇▇▇ will deliver to ZiLOG an executed version of this Settlement Agreement and an executed Request for Dismissal with Prejudice of the Arbitration Demand in its entirety (these documents are collectively referred to as the “Settlement Documents”). ZiLOG may not file the dismissal with the JAMS Arbitrator, San ▇▇▇▇ locale until after it has executed this Settlement Agreement and delivered the Settlement Payment in accordance with paragraph 2 below.
