Common use of Execution of Supplemental Indentures Clause in Contracts

Execution of Supplemental Indentures. In executing or accepting the additional trusts created by any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.1) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. In executing executing, or accepting the additional trusts created by by, any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.1) shall be fully protected in conclusively relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this IndentureIndenture and is legally valid, binding and that all conditions precedent have been complied withenforceable against the Company and the guarantors, if any. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. In executing executing, or accepting the additional trusts created by by, any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee for any series of Securities shall be entitled to receive, and (subject to Section 6.1601) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Trustee for any series of Securities may, but shall not be obligated to, enter into any such supplemental indenture which affects the such Trustee's own rights, liabilities, duties or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. In executing executing, or accepting permitting the additional trusts created by by, any supplemental indenture permitted by this Article IX or the modifications thereby of the trusts created by this Indenture, the Indenture Trustee shall be entitled to receive, and (subject to Section 6.1) Sections 6.1 and 6.2, shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, Indenture and that all conditions precedent to such execution have been complied withsatisfied. The Indenture Trustee may, but shall not be obligated to, enter into any such supplemental indenture which that affects the Indenture Trustee's own rights, duties duties, liabilities or immunities under this Indenture or otherwise.

In executing executing, or accepting the additional trusts created by by, any supplemental indenture or waiver permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.1) shall be fully protected in relying upon, an Officers' Certificate and in addition to the documents required by Section 1.2, an Opinion of Counsel stating that the execution of such supplemental indenture or waiver is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture or waiver which affects the Trustee's ’s own rights, duties or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. In executing executing, or accepting the additional trusts created by any by, and supplemental indenture permitted by this Article Nine or the modifications thereby of the trusts created by this Indenture, the Trustee for any series of Securities shall be entitled to receive, and (subject to Section 6.1601) shall be fully protected in conclusively relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Trustee for any series of Securities may, but shall not be obligated to, enter into any such supplemental indenture which affects the such Trustee's ’s own rights, duties or immunities under this Indenture or otherwise.

In executing As a condition to executing, or accepting the additional trusts created by by, any supplemental indenture permitted by this Article or the modifications thereby of the trusts trust created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.1315 of the Trust Indenture Act) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel and Officers’ Certificate stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's ’s own rights, duties or immunities under this Indenture or otherwiseotherwise is not reasonably acceptable to the Trustee.

The Trustee may, but shall not be obligated to, enter into any such supplemental indenture indentures which affects affect the Trustee's ’s own rights, duties or immunities under this Indenture Indenture, the Notes or otherwise.

Execution of Supplemental Indentures. In executing executing, or accepting the additional trusts created by by, any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.16.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, Indenture and an Officers' Certificate to the effect that all conditions precedent have been complied withsatisfied. The Indenture Trustee may, but shall not be obligated to, enter into any such supplemental indenture which that affects the Indenture Trustee's own rights, duties duties, liabilities or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwise.

In executing executing, or accepting the additional trusts created by by, any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee for the Securities of any series shall be entitled to receive, and (subject to Section 6.1Sections 8.01 and 8.03 hereof) shall be fully protected in conclusively relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Such Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the such Trustee's own rights, duties or immunities under this Indenture or otherwise.

The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's ’s own rights, duties or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. In executing executing, or accepting the additional trusts created by by, any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.1) shall be fully protected in relying upon, an Officers' Officer’s Certificate and an Opinion of Counsel each stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, Indenture and that all conditions precedent have been complied withotherwise complying with Section 1.2 hereof. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which adversely affects the Trustee's ’s own rights, duties or immunities under this Indenture or otherwiseotherwise in any material respect.

Execution of Supplemental Indentures. In executing executing, or accepting the additional trusts created by by, any supplemental indenture permitted by this Article or the modifications modification thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.1) shall be fully protected in relying upon, an Officers' Certificate and in addition to the documents required by Section 1.02 of this Indenture, an Opinion of Counsel and an Officers’ Certificate stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's ’s own rights, duties or immunities under this Indenture or otherwise.

The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's ’s own rights, duties duties, or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. In executing executing, or accepting permitting the additional trusts created by by, any supplemental indenture permitted by this Article IX or the modifications modification thereby of the trusts created by this Indenture, the Indenture Trustee and the Paying Agent shall be entitled to receivereceive and, and (subject to Section 6.1) Sections 6.01 and 6.02, shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Indenture Trustee and the Paying Agent may, but shall not be obligated to, enter into any such supplemental indenture which that affects the Paying Agent's or the Indenture Trustee's own rights, duties duties, liabilities or immunities under this Indenture or otherwise.

In executing or accepting the additional trusts created by by, any supplemental indenture permitted by this Article 8 or the modifications modification thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.1) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwise.

In executing or accepting the additional trusts created by any supplemental indenture permitted by this Article 14 or the modifications thereby of the trusts trust created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.1) 12.1, shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized authorized, permitted or permitted not prohibited (as the case may be) by this Indenture, . Such Opinion of Counsel may be subject to reasonable qualifications and that all conditions precedent have been complied withassumptions of fact. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which that affects the Trustee's ’s own rights, duties duties, liabilities or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. In executing executing, or accepting the additional trusts created by by, any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 6.1601) shall be fully protected in relying upon, an Officers' in addition to the Officer's Certificate and Opinion of Counsel required by Section 102, an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwise.

The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's ’s own rights, duties or immunities under this Indenture or otherwise.

In executing executing, or accepting permitting the additional trusts created by by, any supplemental indenture permitted by this Article IX or the modifications modification thereby of the trusts created by this Indenture, the Indenture Trustee shall be entitled to receivereceive upon request therefor, and (subject to Section 6.1) Sections 6.01 and 6.02, shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel from external counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Indenture Trustee may, but shall not be obligated to, enter into any such supplemental indenture which that affects the Indenture Trustee's own rights, duties duties, liabilities or immunities under this Indenture or otherwise.

Execution of Supplemental Indentures. In executing or accepting the additional trusts created by any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee shall be entitled to receivebe supplied with, and prior to executing any supplemental indenture pursuant to Section 9.1 the Trustee shall require (and subject to Section 6.1) 7.1 shall be fully protected in relying upon), an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental indenture is authorized or permitted by this Indenture, and that all conditions precedent have been complied with. The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwise.

The Indenture Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Indenture Trustee's own rights, duties or immunities under this the Indenture or otherwise.

The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwise.

The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwiseotherwise or that may subject it to any liability.

The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the such Trustee's ’s own rights, duties or immunities under this Indenture or otherwise.

The Trustee may, but shall not be obligated to, enter into any such supplemental indenture which affects the Trustee's own rights, duties or immunities under this Indenture or otherwise.
