Common use of Execution of the Project Clause in Contracts

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant shall be governed by the provisions of Schedule 3 to the Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after before the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (c) without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (b) The Borrower shall, pursuant to the Project Decree, make the proceeds of the Credit available to BDP under a BDP Administration Agreement to be entered into between the Borrower, through MDRAMA, and BDP, under terms and conditions which shall have been approved by the Association. (c) The Borrower, through MDRAMA, shall exercise its rights under the BDP Administration Agreement in such manner as to protect the interests of the Borrower and the Association and to accomplish the purposes of the Credit, and, except as the Association shall otherwise agree, the Borrower, through MDRAMA, shall not assign, amend, abrogate or waive the BDP Administration Agreement or any provision thereof. (d) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with this Agreement and the Implementation Program set forth in Schedule 4 to the Credit AgreementPOM. Section 3.02. (a) Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Execution of the Project. Except as the Bank shall otherwise agree, agree procurement of the goods, works, or works and services required for Parts A.3(afor: (a) and B Part A.1 of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of the Annex to Schedule 5 to this Agreement; and (b) Parts A.2, B and C of the Project and to be financed out of the proceeds of the Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement of the purposes of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or consultants’ services required for Parts A.3(aB.1(a), B.2(a), B.3(a), B.3(b)(i) and B B.3(e) of the Project and to be financed out of the proceeds of the NZAID PHRD Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project Project, and to be financed out of the proceeds of the NZAID Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Execution of the Project. (a) The Recipient ASER declares its commitment to the objectives of the Project as set forth in Schedule 2 to this the Development Credit Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A, B and C of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, public utility, technical and education environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Association and the Association ASER shall otherwise agree, the Recipient ASER shall carry out Parts A, B and C of the Project in accordance with the Implementation Program set forth in Schedule 4 to the Development Credit Agreement. Section 3.022.02. Except as the Bank shall otherwise agree, procurement Procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Credit and the GEF Grant shall be governed by the provisions of Schedule 3 to Section 3.02 of the Development Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.032.03. For ASER shall ensure that the purposes funds deposited by the Borrower into the Project Account pursuant to Section 3.03 of the Development Credit Agreement shall be used exclusively to finance the Borrower’s contribution to the expenditures for the respective Parts of the Project which are not otherwise financed from the proceeds of the Credit. Section 2.04. (a) ASER shall carry out the obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07 and 9.08 of the General Conditions (relating to insurance, use of goods and without limitation theretoservices, the Recipient shall: (aplans and schedules, records and reports, maintenance and land acquisition, respectively) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement in respect of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said planProject Agreement.

Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) A.1, B and B C of the Project Project, and Parts A.2 and A.3 of the Project, and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Planand paragraph 3 of Schedule 4 to this Agreement, respectively. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Bank and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for sustaining the continued achievement of programs developed under the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. (a) The Recipient Borrower declares its commitment to the objectives (a) The Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry DHSA and the Project Hospitals, and Parts B and C of Education; the Project through DPRF, with due diligence and efficiency and in conformity with appropriate administrative, management, financial, medical, public health administration and engineering and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Bank and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) B, C and B D and F of the Project and to be financed out of the proceeds of the NZAID GEF Trust Fund Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient on said plan.

For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. (a) Not later than June 15, 1998 the Borrower shall adopt an action plan satisfactory to the Association designed to: (i) phase out all subsidies to EMPDA by July 8, 1999, and (ii) promote private sector participation in the education publishing industry; and (b) thereafter implement said action plan with due diligence and efficiency in accordance with the timetables included therein.

Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. The Borrower shall, not later than December 31, 2001, prepare a non-formal education policy framework satisfactory to the Association and, thereafter, implement the actions under the framework agreed upon with the Association.

The Borrower shall: (a) until the completion of the Project, open and maintain in a commercial Bank acceptable to the Association, on terms and conditions satisfactory to the Association, an account (the Project Account) to be used exclusively to meet expenditures under the Project; and (b) deposit into the Project Account: (i) an initial deposit of twenty-five million CFA Francs (CFAF 25,000,000); and (ii) the remaining amount of its counterpart contributions, quarterly in advance, to meet expenditures required for the Project during each such quarter. Section 3.03. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. (a) The Generation Company shall carry out the obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07, and 9.08 of the General Conditions (relating to insurance, use of goods and services, plans and schedules, records and reports, maintenance and land acquisition, respectively) in respect of the Project Agreement and Parts A.1, A.3 (a), A.4, A.5, and Part B of the Project (b) For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient shallGeneration Company shall with respect to Parts A.1, A.3 (a), A.4, A.5, and Part B of the Project: (ai) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Association and the AssociationGeneration Company, a plan for the continued achievement future operation of Parts A.1, A.3 (a), A.4, A.5, and B of the Project’s objectives; and (bii) afford the Association a reasonable opportunity to exchange views with the Recipient Generation Company on said plan. Section 2.04. The Generation Company shall duly perform all its obligations under the Subsidiary Loan Agreement. Except as the Association shall otherwise agree, the Generation Company shall not take or concur in any action which would have the effect of amending, abrogating, assigning or waiving the Subsidiary Loan Agreement or any provision thereof. (a) The Generation Company shall, at the request of the Association, exchange views with the Association with regard to the progress of Parts A.1, A.3 (a), A.4, A.5, and B of the Project, the performance of its obligations under this Agreement and under the Subsidiary Loan Agreement, and other matters relating to the purposes of the Credit. (b) The Generation Company shall promptly inform the Association of any condition which interferes or threatens to interfere with the progress of the Project, the accomplishment of the purposes of the Credit, or the performance by the Generation Company of its obligations under this Agreement and under the Subsidiary Loan Agreement.

Execution of the Project. Section 3.03. The Borrower shall maintain until completion of the Project the PCU with adequate staffing and resources and in accordance with terms of reference satisfactory to the Association, which shall be responsible for the overall implementation of the Project. Section 3.04. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. Section 3.03. The Borrower shall: (a) maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with indicators satisfactory to the Association, the carrying out of the Project and the achievement of the objectives thereof; and (b) prepare, under terms of reference satisfactory to the Association, and furnish to the Association quarterly reports integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date. Section 3.04. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 1 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. Execution of the Project. The Borrower shall: (i) open and thereafter maintain, until completion of the Project, a Project Account in a commercial bank acceptable to the Association into which the Borrower shall deposit its counterpart contributions to the costs of the Project; (ii) deposit an initial amount equivalent to $[50,000] [To be confirmed by the Kenyan Delegation] (the Initial Deposit) into the Project Account; and (iii) thereafter during each following quarter deposit into the Project Account the amounts required to cover the Borrower’s counterpart contributions for each such quarter, as determined by the Borrower and the Association. Section 3.03. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.033.04. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued future achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. For the purposes of Part A of the Project, the Borrower shall allocate an amount of the Credit not exceeding such amount as may be allocated from time to time to Category (3) of the table in paragraph 1 of Schedule 1 to this Agreement, to provide Grants to finance Subprojects, on the terms and conditions specified in paragraph 8 of Schedule 4 to this Agreement, and on such other terms and conditions as shall be acceptable to the Association.

(b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program actions set forth in Schedule 4 to this Agreement in order to ensure the Credit Agreementproper implementation of the Project. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. Execution of the Project. Except (a) Without limitation upon the provision of Section 3.01 of this Agreement, and except as the Bank Association and the Borrower shall otherwise agree, procurement the Borrower shall, for purposes of carrying out Part B of the goodsProject, worksnot later than March 31, or services required 2000: (i) select the Implementing Agency for Parts A.3(a) and Part B of the Project pursuant to criteria satisfactory to the Association; (ii) enter into an Agency and to be financed out Cofinancing Agreement with the Implementing Agency for Part B of the proceeds of Project under terms and conditions satisfactory to the NZAID Grant shall be governed by Association including, without limitation, the provisions terms and conditions set forth in paragraph 3 of Schedule 3 to this Agreement; and (iii) cause the Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions Conditions, and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Prior to carrying out Part C.3 of the Project, the Borrower shall consult with the Association on the recommendations of the study referred to therein on the small-scale community-based educational scheme.

(b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower, through its Department of Lands and its Department of National Land Use Planning and Development shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower, jointly through the Department of Lands and the Department of National Land Use Planning and Development, shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. Without limitation or restriction upon any of its obligations under the Development Credit Agreement, the Borrower shall cause its officials, agents, and representatives to provide, promptly as necessary, any necessary entry and exit visas, work permits, exchange and travel documents required for personnel engaged by the Project Implementation Consultants to assist in the implementation of the Project. Section 3.03. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.033.04. Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(aA, B, C (a) and B C (b) of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 1 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. (a) EDL shall carry out the obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07 and 9.08 of the General Conditions (relating to insurance, use of goods and services, plans and schedules, records and reports, maintenance and land acquisition, respectively) in respect of Parts A, B, C (a) and C (b) of the Project. (b) For the purposes of Section 9.08 9.07 of the General Conditions and without any limitation thereto, the Recipient EDL shall: (ai) preparePrepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date Date, or such later date as may be agreed for this purpose between the Recipient Association and the AssociationEDL, a plan for the continued achievement future operation of Parts A, B, C (a) and C (b) of the Project’s objectives; and (bii) afford Afford the Association a reasonable opportunity to exchange views with the Recipient EDL on said plan. Section 2.04. EDL shall duly perform all its obligations under the Subsidiary Loan Agreement. Except as the Association shall otherwise agree, EDL shall not take or concur in any action which would have the effect of amending, abrogating, assigning or waiving the Subsidiary Loan Agreement, or any provision thereof. Section 2.05. (a) EDL shall, at the request of the Association, exchange views with the Association with regard to the progress of Parts A, B, C (a) and C (b) of the Project, the performance of its obligations under this Agreement and the Subsidiary Loan Agreement, and with regard to such other matters relating to the purposes of the Credit.

(b) Without limitation upon the provisions of paragraph paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. (c) Without limitation upon the provisions of paragraphs (a) and (b) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shallProject: (a) prepareestablish and thereafter maintain, until completion of the Project, in RWF a project account in its Central Bank, on the basis of guidelines acceptable terms and conditions satisfactory to the Association; (b) (i) deposit into the Project Account, and furnish to the Association not no later than six January 31, 2005, an initial amount of $75,200 equivalent; and (6ii) months after thereafter, at quarterly intervals, replenish the Closing Date or such later date Project Account by amounts required to finance the Borrower’s contribution for expenditures under the Project as may shall be agreed for this purpose upon between the Recipient Borrower and the Association, a plan for the continued achievement of the Project’s objectives; and (c) ensure that the funds deposited into the Project Account in accordance with paragraph (b) afford of this Section shall be used exclusively to finance expenditures under the Association a reasonable opportunity to exchange views with the Recipient on said planProject.

Except as the Bank Association shall otherwise agree, procurement of the goods, works, or and consultants' services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Without limitation upon the purposes provisions of paragraph (a) of Section 9.08 3.01 of this Agreement, and except as the General Conditions Borrower and without limitation theretothe Association shall otherwise agree, the Recipient Borrower shall: (a) prepare, open and maintain an account in UM in a commercial bank on the basis of guidelines terms and conditions acceptable to the AssociationAssociation (the Project Account), (b) promptly thereafter, and furnish deposit into the Project Account an initial amount equivalent to $75,000, to finance the Borrower's contribution for expenditures under the Project not financed out of the proceeds of the Credit; (c) deposit into the Project Account in quarterly installments, until Completion date, such amounts as shall be required to timely replenish the Project Account back to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement amount of the Project’s objectivesinitial deposit referred to in paragraph (b) above; and (d) ensure that the funds deposited into the Project Account in accordance with paragraphs (a) and (b) afford of this Section shall be used exclusively to finance expenditures under the Association a reasonable opportunity to exchange views with Project other than those financed from the Recipient on said planproceeds of the Credit.

Execution of the Project. Execution of the Project. (b) Without limitation upon The Borrower shall, through the provisions Committee of paragraph Ministers, during the implementation of the Project, maintain a Project coordination unit (PCU) in Transantiago-SE, with functions and responsibilities satisfactory to the Bank, at all times headed by a Project coordinator and assisted by staff in adequate numbers, all with qualifications and experience acceptable to the Bank. (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Without any limitation upon the provisions of Section 3.01 of this Agreement, the Borrower shall, for the purposes of making available its counterpart contribution to the financing of the Project: (a) open and thereafter maintain an account in CFAF (the Project Account) in CAA on terms and conditions satisfactory to the Association; (b) deposit into the Project Account an initial contribution of CFAF three hundred fifteen million (CFAF 315,000,000); (c) thereafter, not later than March 31, 1997, ▇▇▇▇▇▇▇▇▇ said account at least on a quarterly basis, or whenever its balance shall be less than the equivalent of CFAF two hundred million (CFAF 200,000,000); and (d) ensure that amounts deposited into the Project Account shall be used exclusively to make payments to meet expenditures made or to be made in respect of the reasonable cost of goods and services for the Project. Section 3.03. The Borrower shall: (a) not later than December 31, 1997, furnish to the Association for its review and approval, an action plan, prepared on the basis of criteria satisfactory to the Association, defining the specific actions to be taken to substantially increase the accounting autonomy and financial management capacity of local public sector health care providers; and (b) thereafter, carry out said action plan with due diligence and efficiency and in accordance with appropriate financial management practices. Section 3.06. Taking into account its review and validation of treatment algorithms for diseases other than STD, the Borrower shall, not later than June 30, 1997, adopt and publish national guidelines for syndromic diagnosis and treatment of sexually transmitted diseases.

Execution of the Project. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.04. In carrying out the Project, the Borrower shall, until completion of the Project, maintain a system, satisfactory to the Association, which shall provide for the flow of funds to the BMCs for the purposes of carrying out parts of the Project in their areas. In carrying out capital investments under the Program, the Borrower shall take all measures necessary to ensure that contracts for such investments are awarded in accordance with the Process for the Definition and Review of Capital Projects.

Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) A.1, A.5, B.1 (b), B.3, B.5, B.10 and B D of the Project set forth in Schedule 2 to the Development Credit Agreement and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Development Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. For Except as the purposes of Section 9.08 Association shall otherwise agree, the Borrower shall, not later than 12 months after the Effective Date, submit to the Association an analysis of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, restrictions imposed by law on the basis conduct of guidelines business activities by women in Lesotho and adopt a time-bound action plan, acceptable to the Association, and furnish to alleviate those restrictions. Upon adoption of said action plan, the Borrower shall take all necessary action required for the implementation of said action plan in accordance with its terms. Section 3.04. Except as the Association not later than six (6) months after shall otherwise agree, the Closing Date or such later date as may be agreed for this purpose between Borrower shall establish and maintain, at least until the Recipient and the Association, a plan for the continued achievement completion of the Project’s objectives; and (b) afford , a private sector advisory group composed of senior-level government officials, the Association a reasonable opportunity to exchange views head of the Privatization Unit and key members of the private sector. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Association and the Association SLRA shall otherwise agree, the Recipient SLRA shall carry out Parts A (2) (b) A (3), B (1), C (1), C (2) and C (5) of the Project in accordance with the Implementation Program set forth in the Schedule 4 to the Credit this Agreement. Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(aA (2) (b), A (3), B (1), C (1), C (2) and B C (5) of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 5 to the Development Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.032.03. For SLRA shall carry out the purposes of Section obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07 and 9.08 of the General Conditions Condi- tions (relating to insurance, use of goods and without limitation theretoservices, plans and schedules, records and reports, maintenance and land acquisition, respectively) in respect of the Recipient shall:SLRA Project Agreement and Parts A (2) (b), A (3), B (1), C (1), C (2) and (C) (5) of the Project. Section 2.04. SLRA shall duly perform all its obligations under the Subsidiary Financing Agreement. Except as the Association shall otherwise agree, SLRA shall not take or concur in any action which would have the effect of amending, abrogating, assigning or waiving the Subsidiary Financing Agreement or any provision thereof. Section 2.05. (a) prepareSLRA shall, on at the basis request of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said planAssociation with regard to the progress of the Project, the performance of its obligations under this Agreement and under the Subsidiary Financing Agreement, and other matters relating to the purposes of the Credit.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreementshall, shall through MOA, carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, managementeconomic, engineering, environmental, financial, engineering management, technical and education agricultural practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services services, personnel and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to this Agreement, the Credit AgreementProject Implementation Plan, the Accompanying Measures, the Environmental Assessment and the Environmental Management Plan. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan, shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.
