Common use of Execution of the Project Clause in Contracts

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant shall be governed by the provisions of Schedule 3 to the Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry PIUs, Part B of Education; the Project through PIUs, PMCU and WBD, and Part C of the Project through PMCU, all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, technical, environmental and education social practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after before the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this AgreementProject, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project Project, through its Ministry of Education; MAFF, with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering technical, and education environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without without limitation upon the provisions in paragraph (a) of this Section, the Borrower shall open a Project account under terms and conditions satisfactory to the Bank promptly after effectiveness and shall ensure that adequate budgetary allocations shall be made to the Project account each calendar quarter during Project implementation for financing Project expenditures. (c) without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through MDRAMA, assisted by its Vice Ministry of Education; Land and PCU, with due diligence and efficiency and in conformity with appropriate administrativepublic utility, management, financial, engineering administrative and education financial practices, and sound social and environment standards acceptable to the Association; with due regard for environmental practices, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) The Borrower shall, pursuant to the Project Decree, make the proceeds of the Credit available to BDP under a BDP Administration Agreement to be entered into between the Borrower, through MDRAMA, and BDP, under terms and conditions which shall have been approved by the Association. (c) The Borrower, through MDRAMA, shall exercise its rights under the BDP Administration Agreement in such manner as to protect the interests of the Borrower and the Association and to accomplish the purposes of the Credit, and, except as the Association shall otherwise agree, the Borrower, through MDRAMA, shall not assign, amend, abrogate or waive the BDP Administration Agreement or any provision thereof. (d) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with this Agreement and the Implementation Program set forth in Schedule 4 to the Credit AgreementPOM. Section 3.02. (a) Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through the Directorate General of Community Empowerment of its Ministry of Education; Home Affairs with due diligence and efficiency and in conformity with appropriate administrative, managementagriculture, financial, engineering and education practicesengineering, and financial practices and sound environmental and social and environment standards acceptable to the Association; , and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this AgreementProject, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, end shall carry out the Project Project, through its Ministry of Education; DSWD, with due diligence and efficiency and in conformity with appropriate administrative, managementeconomic, educational, engineering, financial, engineering and education management practices, and sound environmental and social and environment standards acceptable to the Association; standards, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, agree procurement of the goods, works, or works and services required for Parts A.3(afor: (a) and B Part A.1 of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of the Annex to Schedule 5 to this Agreement; and (b) Parts A.2, B and C of the Project and to be financed out of the proceeds of the Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement of the purposes of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A, C(1) and C(2) of the Project through its Ministry VRA; shall carry out Parts B and C(3) of Education; the Project through PMU18, all with due diligence and efficiency and in conformity with appropriate administrativetransport, managementengineering, financial, engineering financial and education practices, administrative practices and sound environmental and social and environment standards acceptable to the Association; , and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry the following departments of Education; MCTPC: Department of Roads for Parts A, B.1 and C, Department of Transport for Part B.2, and the Department of Personnel and the relevant DCTPCs for Part B.3,all with due diligence and efficiency and in conformity with appropriate administrative, managementconstruction, financial, engineering engineering, and education public road maintenance and management practices, and sound social and environment standards environmental standards, acceptable to the Association; , and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out out, and cause to be carried out, Parts B.1(a), B.2(a), B.3(a), B.3(b)(i) and B.3(e) of the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or consultants’ services required for Parts A.3(aB.1(a), B.2(a), B.3(a), B.3(b)(i) and B B.3(e) of the Project and to be financed out of the proceeds of the NZAID PHRD Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project Project, through its Ministry of Education; the Health Ministry, various Line Ministries and Agencies and Provincial Health Authorities, with due diligence and efficiency and in conformity with appropriate education, environmental and social, health, sanitary, administrative, management, financial, engineering financial and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to this Agreement and the Credit Procedures, Terms and Conditions for Sub-Projects under Part A.1 set forth in Schedule 6 to this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project Project, and to be financed out of the proceeds of the NZAID Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient ASER declares its commitment to the objectives of the Project as set forth in Schedule 2 to this the Development Credit Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A, B and C of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, public utility, technical and education environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Association and the Association ASER shall otherwise agree, the Recipient ASER shall carry out Parts A, B and C of the Project in accordance with the Implementation Program set forth in Schedule 4 to the Development Credit Agreement. Section 3.022.02. Except as the Bank shall otherwise agree, procurement Procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Credit and the GEF Grant shall be governed by the provisions of Schedule 3 to Section 3.02 of the Development Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.032.03. For ASER shall ensure that the purposes funds deposited by the Borrower into the Project Account pursuant to Section 3.03 of the Development Credit Agreement shall be used exclusively to finance the Borrower’s contribution to the expenditures for the respective Parts of the Project which are not otherwise financed from the proceeds of the Credit. Section 2.04. (a) ASER shall carry out the obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07 and 9.08 of the General Conditions (relating to insurance, use of goods and without limitation theretoservices, the Recipient shall: (aplans and schedules, records and reports, maintenance and land acquisition, respectively) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement in respect of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said planProject Agreement.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out: (i) Parts A.1, A.3 and B.3 of the Project through its Ministry of EducationWorks; (ii) Parts A.2, B.1 and C of the Project through its Ministry of Finance; and (iii) Part B.2 of the Project through its Ministry of Lands, Survey and Natural Resources, with due diligence and efficiency and in conformity with appropriate sound administrative, managementengineering, financial, engineering and education financial practices, and sound social and environment standards acceptable to the Association; standards, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) A.1, B and B C of the Project Project, and Parts A.2 and A.3 of the Project, and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Planand paragraph 3 of Schedule 4 to this Agreement, respectively. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MOL with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering administrative and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. The Adult Labor Market Training Department of MOL is to be responsible for technical implementation of Part A of the Project, and the Youth Training Department of MOL is to be responsible for technical implementation of Part B of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Bank and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for sustaining the continued achievement of programs developed under the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry MINEFI, MINT and MINTP, under the overall coordination of Education; the CTS, with due diligence and efficiency and in conformity with appropriate administrative, managementfinancial and engineering practices and with due regard to environmental factors, financial, engineering and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Project Implementation Plan and the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Without limitation upon the purposes provisions of Section 9.08 Article IX of the General Conditions and without limitation theretoConditions, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and; (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan; and (c) thereafter, carry out said plan with due diligence and efficiency and in accordance with appropriate practices, taking into account the Association’s comments thereon.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives (a) The Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry DHSA and the Project Hospitals, and Parts B and C of Education; the Project through DPRF, with due diligence and efficiency and in conformity with appropriate administrative, management, financial, medical, public health administration and engineering and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Bank and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts B, C and D of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, managementengineering, financialenvironmental, engineering financial and education practicesdistrict heating management practices and with due regard to ecological and environmental factors as set forth, inter alia, in the United Nations Framework Convention on Climate Change and sound social and environment standards acceptable the Kyoto Protocol to the Association; said Convention, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) . Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association Bank shall otherwise agree, the Recipient shall carry out Parts B, C and D of the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) B, C and B D and F of the Project and to be financed out of the proceeds of the NZAID GEF Trust Fund Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering financial and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.04. (a) Not later than June 15, 1998 the Borrower shall adopt an action plan satisfactory to the Association designed to: (i) phase out all subsidies to EMPDA by July 8, 1999, and (ii) promote private sector participation in the education publishing industry; and (b) thereafter implement said action plan with due diligence and efficiency in accordance with the timetables included therein.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A and B of the Project through its Ministry MWR and Part C of Education; the Project through the Provincial Peoples’ Committees, District Peoples’ Committees and Communes, all with due diligence and efficiency and in conformity with appropriate administrativeirrigation, managementagricultural, financialenvironmental, engineering dam safety, resettlement and education rehabilitation, financial and administrative practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project, including without limitation on the foregoing adequate funds for the efficient operation and maintenance of the facilities constructed or rehabilitated under Part A of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Without limitation upon the purposes provisions of Section 9.08 Article IX of the General Conditions and without limitation theretoConditions, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, prepare and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan plan, of such scope and in such detail as the Association shall reasonably request, for the continued achievement future operation of the Project’s objectives; and; (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan; and (c) thereafter, carry out said plan with due diligence and efficiency and in accordance with appropriate practices, taking into account the Association’s comments thereon.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, financial and engineering and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Administrator shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Administrator shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Interim Fund Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationAdministrator, and furnish to the Association Administrator not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationAdministrator, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Administrator a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.04. For the purpose of carrying out Part A of the Project, the Borrower shall implement, or cause to be implemented, the Resettlement Plan and the Environmental Management Plan in accordance with their respective timetables.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MOL, the Supreme Court, JATI, LC and PWD with due diligence and efficiency and efficiency, in conformity with appropriate administrative, management, financial, engineering engineering, legal and education judicial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with with: (i) the Implementation Program set forth in Schedule 4 to this Agreement; and (ii) the Credit Agreementpolicies and principles set forth in the Strategy Paper. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry PTU, Parts B and C of Education; the Project through MINEFI and Part D of the Project through MINJUSTICE, with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering banking and education legal practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for such Parts of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry MORRD and MOPW and Part B of Education; the Project through MORRD with due diligence and efficiency and in conformity with the Project Implementation Manuals and appropriate administrative, managementagricultural, financialengineering, engineering environmental, financial and education social practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to this Agreement, and with the Credit Agreementenvironmental, social and other principles, measures, procedures and guidelines set out in the Framework. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 (c) of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out: (i) Part A of the Project through its Ministry the PIU; (ii) Part B of Educationthe Project through the VWO; (iii) Part C.1 of the Project through the WUA; (iv) Part C.2 of the Project through the TAU; and (v) Parts C.3 and D of the Project through the PMU, with due diligence and efficiency and in conformity with appropriate administrative, managementfinancial, financialenvironmental, engineering and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering technical, and education educational practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services services, and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.04. The Borrower shall, (a) not later than December 31, 2000, prepare the human resource development and staff decentralization strategy for NFED acceptable to the Association; and (b) not later than December 31, 2002, implement said strategy. Section 3.05. The Borrower shall, not later than December 31, 2001, prepare a non-formal education policy framework satisfactory to the Association and, thereafter, implement the actions under the framework agreed upon with the Association.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MEFPP, with due diligence and efficiency and efficiency, in conformity with appropriate administrative, management, financial, engineering financial and education accounting practices, and with due regard to sound social and environment standards acceptable to the Association; appropriate environmental practices, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to this Agreement and with the Credit AgreementProject Implementation Plan. Section 3.02. The Borrower shall: (a) until the completion of the Project, open and maintain in a commercial Bank acceptable to the Association, on terms and conditions satisfactory to the Association, an account (the Project Account) to be used exclusively to meet expenditures under the Project; and (b) deposit into the Project Account: (i) an initial deposit of twenty-five million CFA Francs (CFAF 25,000,000); and (ii) the remaining amount of its counterpart contributions, quarterly in advance, to meet expenditures required for the Project during each such quarter. Section 3.03. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.033.04. For the purposes of Section 9.08 9.07 of the General Conditions Conditions, and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MHMS with due diligence and efficiency and in conformity with appropriate administrative, managementengineering, financialenvironmental, engineering financial and education health practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section, the Borrower shall take all steps required to include in its budget for each Fiscal Year, commencing Fiscal Year 2000 and until completion of the Project, the funds required for the Project for such Fiscal Year. (c) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Generation Company declares its commitment to the objectives of the Project as set forth in Schedule 2 to this the Development Credit Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A.1, A.3 (a), A.4, A.5, and Part B of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, financial and engineering and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for Parts A.1, A.3 (a), A.4, A.5, and Part B of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Association and the Association Generation Company shall otherwise agree, the Recipient Generation Company shall carry out Parts A.1, A.3 (a), A.4, A.5, and Part B of the Project in accordance with the Implementation Program set forth in Schedule 4 2 to the Credit this Agreement. Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Development Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. (a) The Generation Company shall carry out the obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07, and 9.08 of the General Conditions (relating to insurance, use of goods and services, plans and schedules, records and reports, maintenance and land acquisition, respectively) in respect of the Project Agreement and Parts A.1, A.3 (a), A.4, A.5, and Part B of the Project (b) For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient shallGeneration Company shall with respect to Parts A.1, A.3 (a), A.4, A.5, and Part B of the Project: (ai) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Association and the AssociationGeneration Company, a plan for the continued achievement future operation of Parts A.1, A.3 (a), A.4, A.5, and B of the Project’s objectives; and (bii) afford the Association a reasonable opportunity to exchange views with the Recipient Generation Company on said plan. Section 2.04. The Generation Company shall duly perform all its obligations under the Subsidiary Loan Agreement. Except as the Association shall otherwise agree, the Generation Company shall not take or concur in any action which would have the effect of amending, abrogating, assigning or waiving the Subsidiary Loan Agreement or any provision thereof. (a) The Generation Company shall, at the request of the Association, exchange views with the Association with regard to the progress of Parts A.1, A.3 (a), A.4, A.5, and B of the Project, the performance of its obligations under this Agreement and under the Subsidiary Loan Agreement, and other matters relating to the purposes of the Credit. (b) The Generation Company shall promptly inform the Association of any condition which interferes or threatens to interfere with the progress of the Project, the accomplishment of the purposes of the Credit, or the performance by the Generation Company of its obligations under this Agreement and under the Subsidiary Loan Agreement.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MEHE with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering administrative financial and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. The Borrower shall maintain until completion of the Project the PCU with adequate staffing and resources and in accordance with terms of reference satisfactory to the Association, which shall be responsible for the overall implementation of the Project. Section 3.04. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Project State declares its commitment to the objectives of the Project as set forth in Schedule 2 to this the Development Credit Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out, or cause to be carried out, Parts A(4), B(2), C(3) and F of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrativeenvironmental, management, financialadministrative, engineering financial and education economic practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for Parts A(4), B(2), C(3) and F of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient Project State shall carry out Parts A(4), B(2), C(3) and F of the Project in accordance with the Implementation Program set forth in Schedule 4 1 to the Credit this Agreement. Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Development Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For (a) The Project State shall carry out the purposes of Section obli- gations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07 and 9.08 of the General Conditions applicable to the Development Credit Agreement (relating to insurance, use of goods and without limitation theretoservices, plans and schedules, records and reports, maintenance and land acquisition, respectively) in respect of the Recipient shall:Project Agreement and Parts A(4), B(2), C(3) and F of the Project. (ab) prepare, on the basis of guidelines acceptable to the Association, and furnish furnished to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.six

Execution of the Project. (a) Section 3.01. The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; Bangladesh Bank with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering administrative and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or services goods required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. The Borrower shall: (a) maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with indicators satisfactory to the Association, the carrying out of the Project and the achievement of the objectives thereof; and (b) prepare, under terms of reference satisfactory to the Association, and furnish to the Association quarterly reports integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of said report and setting out the measures recommended to ensure the efficient carrying out of the Project and the achievement of the objectives thereof during the period following such date. Section 3.04. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Each Project Province declares its commitment to the objectives of the Project as set forth in Schedule 2 to this the Development Credit Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A, B, C and D of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering and education health practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for Parts A, B, C and D of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Association and the Association Project Provinces shall otherwise agree, the Recipient : (i) each Project Province shall carry out Parts A, B, C and D of the Project in accordance with the Implementation Program set forth in Schedule 4 2 to this Agreement; and (ii) each Project Province shall make the proceeds of the Credit lent to it by the Borrower and additional funds from its own resources available to health institutions and bureaus carrying out the Project at the prefecture, county, township and village levels on the terms and conditions set forth in Schedule 3 to this Agreement. Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 1 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.032.03. For the purposes of Section Project Provinces shall carry out the obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07 and 9.08 of the General Conditions (relating respectively to insurance, use of goods and without limitation theretoservices, plans and schedules, records and reports, maintenance and land acquisition) in respect of the Recipient shall:Project Agreement and Parts A, B, C and D of the Project. Section 2.04. (a) preparethe Project Provinces shall, on at the basis request of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said planAssociation with regard to the progress of Parts A, B, C and D of the Project, the performance of their respective obligations under this Agreement and other matters relating to the purposes of the Credit.

Execution of the Project. (a) The Recipient Board declares its commitment to the objectives of the Project as set forth in Schedule 2 to this the Development Credit Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A (ii), B (ii), C, E and F, and shall assist NABARD in the carrying out of Parts A (i), B (i) and D of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering financial and education agricultural practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Association and the Association Board shall otherwise agree, the Recipient Board shall carry out Parts A (ii), B (ii), C, E and F of the Project in accordance with the Implementation Program set forth in Schedule 4 1 to the Credit this Agreement. Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Development Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.032.03. For The Board shall carry out the purposes of Section obligations set forth in Sections 9.04, 9.05, 9.06, 9.07, 9.08 and 9.09 of the General Conditions (relating to insurance, use of goods and without limitation theretoservices, plans and schedules, records and reports, maintenance and land acquisition, respectively) in respect of this Project Agreement and Parts A (ii), B (ii), C, E and F of the Recipient shall:Project. Section 2.04. (a) prepareThe Board shall, on at the basis request of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said planAssociation with regard to the progress of the Project, the performance of its obligations under this Agreement, and other matters relating to the purposes of the Credit.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, dam safety, environmental, and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. The Borrower shall: (a) open a Project Account in a commercial bank with an initial deposit in local currency equivalent to at least $250,000; (b) maintain said Project Account with a minimum balance, through [quarterly]monthly replenishments, equivalent to $100,000, or such other amount as may be agreed by the Association from time to time; and (c) use the funds of said Project Account exclusively for financing the implementation of the Project. Section 3.03. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.033.04. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectivesobjectives of the Project and the Program; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry AARD, and Parts B and C of Education; the Project through the NTB and NTT Provincial Development Planning Agencies (BAPPEDA I), with due diligence and efficiency and in conformity with appropriate administrative, managementagricultural, financialengineering, engineering environmental and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for designed to ensure the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MOH with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering financial and education public health practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. The Borrower shall: (i) open and thereafter maintain, until completion of the Project, a Project Account in a commercial bank acceptable to the Association into which the Borrower shall deposit its counterpart contributions to the costs of the Project; (ii) deposit an initial amount equivalent to $[50,000] [To be confirmed by the Kenyan Delegation] (the Initial Deposit) into the Project Account; and (iii) thereafter during each following quarter deposit into the Project Account the amounts required to cover the Borrower’s counterpart contributions for each such quarter, as determined by the Borrower and the Association. Section 3.03. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.033.04. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued future achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A and C of the Project through its Ministry of Education; SDF, and Part B thereof through DLRS, all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering and education technical practices, and sound social with due regard to ecological and environment standards acceptable to the Association; environmental factors, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and and, except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project Project, and to be financed out of the proceeds of the NZAID Grant Credit, shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.04. For the purposes of Part A of the Project, the Borrower shall allocate an amount of the Credit not exceeding such amount as may be allocated from time to time to Category (3) of the table in paragraph 1 of Schedule 1 to this Agreement, to provide Grants to finance Subprojects, on the terms and conditions specified in paragraph 8 of Schedule 4 to this Agreement, and on such other terms and conditions as shall be acceptable to the Association.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MOL with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering administrative and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Operational Manual and the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants' services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan: (i) required for Part A of the Project shall be governed by the provisions of paragraph 2(b)(v) of Schedule 5 to this Agreement and (ii) required for Part B and Part C of the Project shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Bank and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for to ensure the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out, or shall cause its line ministries, departments, agencies, provincial and local authorities, and the Tharuna Aruna Institute to carry out, the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, managementeducational, financial, engineering financial and education legal practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall, and shall cause the Tharuna Aruna Institute to, carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part C of the Project through its Ministry of Education; SEdC, and cause the Project Provinces to carry out Parts A and B thereof, all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering technical and education practices, and sound social and environment standards acceptable to the Association; practices and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Projectpurpose. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program actions set forth in Schedule 4 to this Agreement in order to ensure the Credit Agreementproper implementation of the Project. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes purpose of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, managementengineering, financialenvironmental, engineering financial and education practicesdistrict heating management practices and with due regard to ecological and environmental factors as set forth, inter alia, in the United Nations Framework Convention on Climate Change and sound social and environment standards acceptable the Kyoto Protocol to the Association; said Convention, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association Bank shall otherwise agree, the Recipient shall carry out Part A of the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Grant Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B Part A of the Project and to be financed out of the proceeds of the NZAID GEF Trust Fund Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part D of the Project through its Ministry of Education; SEdC, and cause the Project Provinces to carry out Parts A, B and C thereof, all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering technical and education practices, and sound social and environment standards acceptable to the Association; practices and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Projectpurpose. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project, or cause the Project to be carried out, in accordance with the Implementation Program set forth in Schedule 4 to this Agreement and take such further actions as are referred to in said Implementation Program, or cause such further actions to be taken, in accordance with the Credit Agreementprovisions thereof. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes purpose of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project Project, through its Ministry of Education; MoH, with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering and education health practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions any of its obligations set forth in paragraph (a) above, the Borrower shall: (i) maintain the Project Account, and replenish said Account promptly before the beginning of each calendar quarter with funds sufficient to enable the Borrower to meet its obligations under Section 3.01 of this Section and except as Agreement for such period; (ii) use the Recipient and the Association shall otherwise agree, the Recipient shall carry out amount in the Project Account exclusively for financing the Borrower’s contribution to Project expenditures; and (iii) ensure that sufficient annual allocations will be made in accordance with the Implementation Program set forth in Schedule 4 Borrower’s budget for the Borrower’s counterpart contribution to the Credit Agreementcosts of the Project. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering technical and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program implementation program set forth in Schedule 4 to the Credit this Agreement.; Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Without limitation upon the purposes provisions of paragraph (a) of Section 9.08 3.01 of the General Conditions and without limitation theretothis Agreement, the Recipient Borrower shall: (a) prepare, open and maintain an account (the Project Account) in a commercial bank on the basis of guidelines acceptable terms and conditions satisfactory to the Association; (b) promptly thereafter, and furnish deposit into the Project Account an amount equivalent to $130,000 to finance the Borrower's contribution to the Association not later than six Project; (6c) months after deposit into the Closing Date or Project Account, in quarterly installments, until Completion Date, such later date amounts as may shall be agreed for this purpose between required to timely replenish the Recipient and Project Account back to the Association, a plan for the continued achievement amount of the Project’s objectivesinitial deposit referred to in paragraph (b) above; and (d) ensure that the funds deposited into the Project Account in accordance with paragraphs (a) and (b) afford of this Section shall be used exclusively to finance expenditures under the Association a reasonable opportunity to exchange views with Project other than those financed from the Recipient on said planproceeds of the Credit.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with the Program, the Operational Manual and appropriate administrative, management, financial, engineering engineering, environmental, and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section, the Borrower shall: (i) open by January 31, 2001, and maintain thereafter a Project Account in a bank acceptable to the Association; (ii) replenish said Project Account from time to time so that the amount deposited in said Project Account shall not be less than the equivalent of $75,000; and (iii) use said Project Account for financing the Borrower’s contribution to the Project expenditures. (c) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectivesobjectives of the Project and the Program; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; Agriculture and Forestry and the Provincial Government of each of the Project Provinces, with due diligence and efficiency and in conformity with appropriate administrative, managementagriculture, financialengineering, engineering environmental, financial and education social practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; the PMU with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering administrative and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient shall Borrower shall: (i) carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to this Agreement; and (ii) carry out Part D.2 of the Credit Project in accordance with the Operational Manual and the terms and conditions set forth in Schedule 5 to this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; TPO with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering environmental and education technical standards and practices, as well as in accordance with the procedures and sound social guidelines set forth in the Procedures Manual and environment standards acceptable to the Association; targets set out in the Project Implementation Plan, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this AgreementProject, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, : (i) shall carry out Part A of the Project through its Ministry MOH; and (ii) shall cause the Project Provinces to carry out Parts B and C of Education; the Project, all with due diligence and efficiency and in conformity with appropriate administrative, managementeconomic, financial, engineering and education practicessocial, and technical practices and sound social environmental and environment health standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out out, or cause the Project Provinces to carry out, the actions specified in accordance with the Implementation Program set forth in Schedule 4 5 to this Agreement in order to ensure proper implementation of the Credit AgreementProject. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the designed to ensure continued achievement of the Project’s Project objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A(8)(a) and B(3)(a) of the Project through its Ministry MOH, shall cause the Part A Provinces to carry out Parts A(1) through A(7) of Education; the Project and Part A(8)(b) thereof directly or through their Project Counties, and shall cause the Part B Provinces to carry out Parts B(1) and B(2) of the Project and Part B(3)(b) thereof directly or through their Project Counties, all with due diligence and efficiency and in conformity with appropriate administrativehealth, managementeconomic, financial, engineering administrative, technical and education environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program actions set forth in Schedule 4 to this Agreement in order to ensure the Credit Agreementproper implementation of the Project. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out: (i) Parts A, C, D and E of the Project through its Ministry the MOF and other ministries and agencies set forth in Annex 1 to Schedule 3 to this Agreement; and (ii) Part B of Education; the Project through the Implementing Agency for Part B of the Project, all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, environmental, agricultural and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation or restriction upon the provisions of paragraph (a) of this Section Section, and except as the Recipient and the Association Borrower shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 3 to the Credit this Agreement. Section 3.02. Except (a) Without limitation upon the provision of Section 3.01 of this Agreement, and except as the Bank Association and the Borrower shall otherwise agree, procurement the Borrower shall, for purposes of carrying out Part B of the goodsProject, worksnot later than March 31, or services required 2000: (i) select the Implementing Agency for Parts A.3(a) and Part B of the Project pursuant to criteria satisfactory to the Association; (ii) enter into an Agency and to be financed out Cofinancing Agreement with the Implementing Agency for Part B of the proceeds of Project under terms and conditions satisfactory to the NZAID Grant shall be governed by Association including, without limitation, the provisions terms and conditions set forth in paragraph 3 of Schedule 3 to this Agreement; and (iii) cause the Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 Implementing Agency for Part B of the General Conditions and without limitation thereto, Project to adopt the Recipient shall: (a) prepare, on the basis of guidelines acceptable Operational Guidelines satisfactory to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry the MASAF-MU and Parts B, C and D of Education; the Project through the MOLPPS, with due diligence and efficiency and in conformity with appropriate administrative, managementenvironmental, financial, engineering land and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the land, goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan. Section 3.04. The Recipient shall provide its counterpart contribution to the Project in a timely manner in the form of land for Part A of the Project in such amounts as shall have been agreed to with the Association.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering management and education educational practices, and sound social and environment standards acceptable to in accordance with the Association; Operational Plan, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions Conditions, and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.04. Prior to carrying out Part C.3 of the Project, the Borrower shall consult with the Association on the recommendations of the study referred to therein on the small-scale community-based educational scheme.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out: (i) Parts A.1, A.3, A.4, C and D of the Project through its Ministry of EducationMOA/MOIWD; and (ii) Parts A.2 and B through MASAF, all with due diligence and efficiency and in conformity with appropriate administrative, managementagricultural, engineering, financial, engineering social and education environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. (a) Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. (b) The Recipient shall update the Procurement Plan in accordance with guidelines acceptable to the Association, and furnish such update to the Association not later than 12 months after the date of the preceding Procurement Plan, for the Association’s approval. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering financial and education economic management practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services services, and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.04. The Borrower shall (a) open and thereafter maintain, until completion of the Project, a project account in a commercial bank, into which it shall deposit in advance, no later than the first day of each calendar quarter, the amount required to cover the Borrower’s quarterly counterpart contributions to the Project, as such amount shall have been agreed upon between the Borrower and the Association;

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services services, and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.04. The Borrower shall (i) maintain, until the completion of the Project, adequate staffing and logistical support in the NIRP Secretariat; and (ii) not later than 12 months after the Effective Date, furnish to the Association, for review and approval, details on the amount, scope, and focus of retraining activities and retrenchment benefits to be distributed to redundant staff of its public sector.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; DLC Company with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering financial and education educational practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) For the carrying out of the Project, the Borrower shall make the proceeds of the Credit available to DLC Company, in accordance with arrangements satisfactory to the Borrower and the Association. (c) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Directorate General for Primary and Secondary Education in the Ministry of Education; Education and Culture with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering educational and education publishing practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Without limitation upon the purposes provisions of Section 9.08 Article IX of the General Conditions and without limitation theretoConditions, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement continuation of the activities under the Project’s objectives; and; (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan; and (c) thereafter, carry out said plan with due diligence and efficiency and in accordance with appropriate practices, taking into account the Bank’s comments thereon.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry MAWR, Part B of Education; the Project through GCRB under the Minister of the MOCHUP, and Part C of the Project through the Project Management Unit of the Public Works Project, all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, environmental, and education agricultural practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall shall: (i) carry out Parts A, B.1, C, D and E of the Project through its Ministry MARD and the Project Provinces; and (ii) cause EVN to carry out Part B.2 of Educationthe Project; all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, agricultural and engineering and education practices, and sound social and environment environmental standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out out, and cause to be carried out, the Project in accordance with the Implementation Program set forth in Schedule 4 to this Agreement. (c) For purposes of Part B.2 of the Project, the Borrower shall make available to EVN part of the proceeds of the Credit Agreementallocated from time to time to Categories (2)(b) and (3)(b), under a subsidiary loan agreement acceptable to the Association. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) Section 3.01. The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry MEHE and Part B of Education; the Project through MOH, all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering and education practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to this Agreement, as the Credit Agreementsame may be amended from time to time by mutual agreement of the Borrower and the Administrator. Section 3.02. Except as the Bank Administrator shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Without limitation upon the purposes provisions of Section 9.08 Article IX of the General Conditions and without limitation theretoConditions, the Recipient shallBorrower shall cause each of MEHE and MOH to: (a) prepare, on the basis of guidelines acceptable to the AssociationAdministrator, and furnish to the Association Administrator not later than six (6) months after the Closing Date Date, or such later date as may be agreed for this purpose between the Recipient Borrower, on the one part, and MEHE and MOH, on the Associationother part, a plan for the continued achievement future operation of its respective Part of the Project’s objectives; and; (b) afford the Association Administrator a reasonable opportunity to exchange views with the Recipient each of MEHE and MOH on said plan; and (c) thereafter, carry out said plan with due diligence and efficiency, and in accordance with appropriate practices, taking into account the Administrator’s comments thereon.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; Environment and shall carry out Part C.3 of the Project through the provincial governments of the Provinces of Ratanakiri and Stung Treng, with due diligence and efficiency and in conformity with appropriate administrative, managementengineering, financial, engineering and education financial practices, and sound social with due regard to ecological and environment standards acceptable to the Association; environmental factors, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after before the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A, C and D of the Project through its Ministry of Education; HC and Parts B, E and F through MMATC, with due diligence and efficiency and in conformity with appropriate administrativeengineering, management, financial, engineering financial and education administrative practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Without limitation upon the purposes provisions of Section 9.08 Article IX of the General Conditions and without limitation theretoConditions, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, prepare and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan plan, of such scope and in such detail as the Bank shall reasonably request, for the continued achievement future operation of the Project’s objectives; and; (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan; and (c) thereafter, carry out said plan with due diligence and efficiency and in accordance with appropriate practices, taking into account the Bank’s comments thereon.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end: (i) shall carry out Parts E and F of the Project through MOEF with due diligence and efficiency and in conformity with appropriate administrative, financial and environmental practices, and shall provide, promptly as needed, the funds and services required for Parts E and F of the Project; and (ii) without any limitation or restriction upon any of its other obligations under this Agreementthe Development Credit Agree- ment, shall carry out cause the Project through its Ministry States to perform in accordance with the provisions of Education; with due diligence the Project Agree- ment all the obligations of the Project States therein set forth, shall take and efficiency cause to be taken all action, including the provision of funds and in conformity with services necessary or appropriate administrative, management, financial, engineering and education practices, and sound social and environment standards acceptable to enable the Association; and shall provideProject States to perform such obligations, and shall cause not take or permit to be provided, promptly as needed, the funds, facilities, services and other resources required for the Projecttaken any action which would prevent or interfere with such performance. (b) Without limitation upon to the provisions of paragraph (a) (i) of this Section Section, and except as the Recipient Association and the Association Borrower shall otherwise agree, the Recipient Borrower shall cause MOEF to carry out the Project Parts E and F in accordance with the Implementation Program set forth in Schedule 4 5 to this Agreement, and arrangements agreed with the Association. (c) The Borrower shall make part of the proceeds of the Credit available to the Credit AgreementProject States through MOEF, in accordance with the Borrower’s standard arrangements for development assistance to the States of India. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions The Borrower and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after hereby agree that the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Associationobligations set forth in Sections 9.03, a plan for the continued achievement of the Project’s objectives; 9.04, 9.05, 9.06, 9.07 and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out, or cause to be carried out, the Project through its Ministry of Education; Project, with due diligence and efficiency and in conformity with appropriate administrative, managementeconomic, financial, water resource management, educational, and engineering and education practices, and with sound ecological, environmental and social and environment standards acceptable to the Association; , and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry Department of Education; Lands and its Department of National Land Use Planning and Development, with due diligence and efficiency and in conformity with appropriate administrative, managementengineering, financialand financial standards and sound environmental, engineering and education social practices, and sound social and environment standards acceptable satisfactory to the Association; , and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower, through its Department of Lands and its Department of National Land Use Planning and Development shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower, jointly through the Department of Lands and the Department of National Land Use Planning and Development, shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project, through ACD assisted by the Project through its Ministry of Education; Implementation Consultants, in coordination with MOC, with due diligence and efficiency and in conformity with the Work Plan and the Project Implementation Manual and appropriate administrative, management, financial, engineering engineering, environmental and education custom and trade facilitation practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Without limitation or restriction upon any of its obligations under the Development Credit Agreement, the Borrower shall cause its officials, agents, and representatives to provide, promptly as necessary, any necessary entry and exit visas, work permits, exchange and travel documents required for personnel engaged by the Project Implementation Consultants to assist in the implementation of the Project. Section 3.03. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.033.04. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient EDL declares its commitment to the objectives of the Project as set forth in Schedule 2 to this the Development Credit Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A, B, C (a) and C (b) of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, managementeconomic, financialenvironmental, engineering engineering, financial and education public utility practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for said Parts of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Association and the Association EDL shall otherwise agree, the Recipient EDL shall carry out Parts A, B, C (a) and C (b) of the Project in accordance with the Implementation Program set forth in Schedule 4 2 to the Credit this Agreement. Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(aA, B, C (a) and B C (b) of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 1 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. (a) EDL shall carry out the obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07 and 9.08 of the General Conditions (relating to insurance, use of goods and services, plans and schedules, records and reports, maintenance and land acquisition, respectively) in respect of Parts A, B, C (a) and C (b) of the Project. (b) For the purposes of Section 9.08 9.07 of the General Conditions and without any limitation thereto, the Recipient EDL shall: (ai) preparePrepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date Date, or such later date as may be agreed for this purpose between the Recipient Association and the AssociationEDL, a plan for the continued achievement future operation of Parts A, B, C (a) and C (b) of the Project’s objectives; and (bii) afford Afford the Association a reasonable opportunity to exchange views with the Recipient EDL on said plan. Section 2.04. EDL shall duly perform all its obligations under the Subsidiary Loan Agreement. Except as the Association shall otherwise agree, EDL shall not take or concur in any action which would have the effect of amending, abrogating, assigning or waiving the Subsidiary Loan Agreement, or any provision thereof. Section 2.05. (a) EDL shall, at the request of the Association, exchange views with the Association with regard to the progress of Parts A, B, C (a) and C (b) of the Project, the performance of its obligations under this Agreement and the Subsidiary Loan Agreement, and with regard to such other matters relating to the purposes of the Credit.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts B, C and D of the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, managementengineering, financialenvironmental, engineering financial and education practicesdistrict heating management practices and with due regard to ecological and environmental factors as set forth, inter alia, in the United Nations Framework Convention on Climate Change and sound social and environment standards acceptable the Kyoto Protocol to the Association; said Convention, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association Bank shall otherwise agree, the Recipient shall carry out Parts B, C and D of the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) B, C and B D of the Project and to be financed out of the proceeds of the NZAID GEF Trust Fund Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its their commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, : (i) shall carry out Parts A (1), A (2), A (3), a portion of A (4), B (1), B (2), B (3), and Part C of the Project through its Ministry MOE and a portion of Education; Part A (4) of the Project through MOHE with due diligence and efficiency and in conformity with appropriate administrativeeducational, management, financial, engineering administrative and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for such Parts of the Project; and (ii) shall cause VTC to carry out a portion of Part A (4) of the Project and shall cause NCERD to carry out Parts B (4) and B (5) of the Project with due diligence and efficiency and in conformity with appropriate educational, administrative and financial practices, shall take or cause to be taken all action, including the provision of funds, facilities, services and other resources, necessary or appropriate to enable NCERD and VTC to carry out the Project, and shall not take or permit to be taken any action which would prevent or interfere with the carrying out of the Project by NCERD and VTC. (b) Without limitation upon the provisions of paragraph paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant shall be governed by the provisions of Schedule 3 to the Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepareThe Borrower shall: (i) cause the Technical Unit to appraise the Sub-projects in accordance with guidelines, on the basis of guidelines criteria and procedures acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectivesBank; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through the Directorate General of Urban and Rural Development of its Ministry of Education; Settlements and Regional Infrastructure with due diligence and efficiency and in conformity with appropriate administrative, managementengineering, financial, engineering environmental and education financial practices, and sound social with due regard to ecological and environment standards acceptable to the Association; environmental factors, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association Bank shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) B.3, B.4 and B B.5 of the Project and to be financed out of the proceeds of the NZAID GEF Trust Fund Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after before the Closing Date or such later date as may be agreed for this purpose between the Recipient and the AssociationBank, a plan for designed to ensure the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this AgreementProject, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out: (i) Part A of the Project through its Ministry MORD; (ii) Part B of Educationthe Project through MOH; (iii) Part C of the Project through MNUSD; (iv) Part D.1 of the Project through EPU and the Project Ministries; and (v) Part D.2 of the Project through EPU, with due diligence and efficiency and in conformity with appropriate administrative, managementenvironmental, financial, engineering health and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after before the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part C of the Project through its Ministry of Education; SEdC, and cause the Project Entities to carry out Parts A and B thereof, with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering technical and education practices, and sound social and environment standards acceptable to the Association; practices and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project, or cause the Project to be carried out, in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry ▇▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇,▇ and D of Education; the Project through BPN, and Part E of the Project through MOHA, with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, environmental and education land management practices, and sound social and environment environmental standards acceptable to the Association; , and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MOA with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering financial and education agricultural practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient shall Borrower shall: (i) carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to this Agreement; and (ii) make adequate annual budgetary allo- cations and promptly release the Credit Agreementappropriated funds to MOA and other Project implementing agencies consistent with the plan of action, work plans and criteria approved in accordance with the Imple- mentation Program, and the Borrower’s medium-term agricultural investment program, which shall be updated periodically and continue to be satisfactory to the Association. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient The Borrower shall: : (a) prepareby not later than October 1, on the basis of guidelines acceptable to 1995 and October 1, 1997, respectively, carry out, jointly with the Association, and furnish comprehensive reviews to determine progress achieved in the Association not later than six (6) months after implementation of the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement various components of the Project’s objectives; and and (b) afford the Association thereafter promptly carry out any modifications and improvements in Project implementation recommended as a reasonable opportunity to exchange views with the Recipient on said planresult of such reviews.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; the MES with due diligence and efficiency and in conformity with appropriate administrative, managementeducation, financialengineering, engineering environmental, financial and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section, the Borrower shall take all necessary measures to ensure that adequate and timely financial arrangements are in place at all times for the continued and successful operation of the Project, including, without limitation, the provision, beginning with the FY 1995 budget and for each following FY budget until Project completion: (i) to the MES, of the necessary budgetary resources required to maintain an adequate level of the MES’s annual recurrent and investment budget for basic education; and (ii) to the CNM, the INBMI, the INSE and the PMU, of the funds necessary to allow them to suitably meet each of their recurrent and investment budget costs for the Project. (c) Without limitation upon the provisions of paragraphs (a) and (b) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project Project, through its Ministry of Education; the HRCBA, and in close collaboration with the Participating MDAs, with due diligence and efficiency efficiency, and in conformity with appropriate administrative, management, financial, engineering human resource, and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, provide promptly as needed, the funds, facilities, services services, and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except Without limitation to its obligations under Section 3.01 of this Agreement, and except as the Bank Borrower and the Association shall otherwise agree, procurement the Borrower shall for purposes of making its counterpart contribution to the financing of the goods, works, or services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant shall be governed by the provisions of Schedule 3 to the Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shallProject: (a) prepareestablish and thereafter maintain, until completion of the Project, in RWF a project account in its Central Bank, on the basis of guidelines acceptable terms and conditions satisfactory to the Association; (b) (i) deposit into the Project Account, and furnish to the Association not no later than six January 31, 2005, an initial amount of $75,200 equivalent; and (6ii) months after thereafter, at quarterly intervals, replenish the Closing Date or such later date Project Account by amounts required to finance the Borrower’s contribution for expenditures under the Project as may shall be agreed for this purpose upon between the Recipient Borrower and the Association, a plan for the continued achievement of the Project’s objectives; and (c) ensure that the funds deposited into the Project Account in accordance with paragraph (b) afford of this Section shall be used exclusively to finance expenditures under the Association a reasonable opportunity to exchange views with the Recipient on said planProject.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, and education environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or and consultants' services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Without limitation upon the purposes provisions of paragraph (a) of Section 9.08 3.01 of this Agreement, and except as the General Conditions Borrower and without limitation theretothe Association shall otherwise agree, the Recipient Borrower shall: (a) prepare, open and maintain an account in UM in a commercial bank on the basis of guidelines terms and conditions acceptable to the AssociationAssociation (the Project Account), (b) promptly thereafter, and furnish deposit into the Project Account an initial amount equivalent to $75,000, to finance the Borrower's contribution for expenditures under the Project not financed out of the proceeds of the Credit; (c) deposit into the Project Account in quarterly installments, until Completion date, such amounts as shall be required to timely replenish the Project Account back to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement amount of the Project’s objectivesinitial deposit referred to in paragraph (b) above; and (d) ensure that the funds deposited into the Project Account in accordance with paragraphs (a) and (b) afford of this Section shall be used exclusively to finance expenditures under the Association a reasonable opportunity to exchange views with Project other than those financed from the Recipient on said planproceeds of the Credit.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering and education health practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section hereof, the Borrower shall: (i) open a Project Account in a commercial bank on terms and except as the Recipient and conditions acceptable to the Association shall otherwise agreewith an initial deposit equivalent to $80,000; (ii) thereafter maintain and replenish said account at the beginning of each semester to ensure that adequate funds, as deemed necessary by the Recipient shall carry Association, are available to meet expected local expenditures for the next eight (8) months; and (iii) use the funds so deposited on said account exclusively for financing the cast of the implementation of the Project, not financed out of the Project in accordance with proceeds of the Implementation Program set forth in Schedule 4 to the Credit AgreementCredit. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry MOF, BUSbank and Agrocredit, and Parts B and C of Education; the Project through ANB, with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, environmental, and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or and services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued future achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; through, MOH, District Administrations, NGOs, CBOs and private health service providers all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering financial and education public health practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, The Borrower and furnish to the Association shall, not later than six December 31, 1997, undertake a joint comprehensive review of the Project, during which they shall exchange views generally on all matters relating to the progress made in the carrying out of the Project and the performance by the Borrower of its obligations under this Agreement; including, but not limited to (6i) months after a review of the Closing Date or such later date as may be achievements of the Project, having regard to performance indicators agreed for this purpose upon between the Recipient Borrower and the Association, a plan for ; (ii) the continued achievement implementation and management aspects of the Project’s objectives; and (biii) afford implementation procedures in each District, (iv) performance and use of technical assistance personnel; (v) the Association a reasonable opportunity to exchange views with role of national counterpart staff; (vi) the Recipient on said plan.status and results of training;

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and efficiency, in conformity with appropriate administrative, managementeducational, financialeconomic, engineering financial and education practicesenvironmental practices and in accordance with the Implementation Program set forth in Schedule 5 to this Agreement, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association shall otherwise agreeSection, the Recipient shall carry Borrower shall: (i) furnish to the Bank, for its review and comments, not later than September 1 of each year, commencing September 1, 2000, an estimate of the counterpart funding required to be provided by the Borrower out of its own resources for the Project in accordance with during the Implementation Program set forth in Schedule 4 subsequent year; and (ii) taking into account the comments of the Bank, ensure that adequate financing arrangements are made prior to January 1 of each year to cover the Credit Agreementcounterpart funding required for the Project activities to be implemented during such year. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project Project, and to be financed out of the proceeds of the NZAID Grant Loan, shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Bank and furnish to the Association Bank not later than six (6) months after the Closing Date Date, or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project Project, through its Ministry of Education; the Implementing Agencies, with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering economic, technical and education administrative practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.07 of the General Conditions referred to in Section 1.01 of the Development Credit Agreement and Section 9.08 of the General Conditions referred to in Section 1.01 of the Loan Agreement, and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Association and the AssociationBorrower, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MOPHP with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering technical, health and education environmental standards and practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to this Agreement. (c) Without limitation or restriction upon any of its other obligations under this Agreement and except as the Credit AgreementAssociation and the Borrower shall otherwise agree, the Borrower shall carry out the Project in accordance with the provisions of the Operations Manual, PIP and Environmental Management Plan. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering engineering, environmental and education utilities practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to this Agreement. (c) Without limitation upon the Credit provisions of paragraph (a) of this Section, and except as the Bank shall otherwise agree, Investment Projects to be carried out by the Borrower under Parts A, B and C (5) of the Project shall meet the eligibility criteria set out in Schedule 6 to this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Part A of the Project through its Ministry the Department of Education; National Planning and Monitoring and Part D of Project through the Office of Environment and Conservation, with due diligence and efficiency and in conformity with appropriate administrativeforestry, managementenvironment, financialmanagerial, engineering and education financing, administrative practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for such parts of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient and the Association Bank shall otherwise agree, the Recipient shall carry out Parts A and D of the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for under Parts A.3(a) A and B D of the Project and to be financed out of the proceeds of the NZAID GEF Trust Fund Grant shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering educational and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 an implementation program satisfactory to the Credit AgreementAssociation. Such program shall be reviewed and revised, if necessary by October 31 of each Year, beginning October 31, 1989. Section 3.02. (a) Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to this Agreement. (b) Without limitation on the Credit Agreementforegoing and with respect to facilities to be constructed under the Project, as said provisions may be further elaborated the Borrower shall: (i) permit contractors to import building materials directly; and (ii) provide to contractors the work permits for importation of skilled labor unavailable in the Procurement PlanBorrower’s territory. Section 3.03. For Not later than one year prior to the purposes of Section 9.08 estimated opening of the General Conditions and without limitation theretofacilities set out in Part A of the Project, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, and Borrower shall furnish to the Association not later than six for comment a staffing plan (6including identification of sources of finance for such staff) months after the Closing Date or for each such later date as may be agreed for this purpose between the Recipient facility and shall thereafter carry out such plan in accordance with a time schedule satisfactory to the Association, a plan . Section 3.04. The Borrower shall furnish to the Association for comment: (a) the continued achievement draft program referred to in Part C(2)(a) of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.Project by December 31, 1989;

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives objective of the Project as set forth in Schedule 2 to this AgreementProject, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out: (i) Part A.3, Part B (with the exception of B.3) Part C, Part D.2 (jointly with MINVU) and Part E of the Project through its Ministry Transantiago-SE; and (ii) under the overall financial management, coordination and supervision of EducationTransantiago-SE, the remaining parts of the Project with the assistance of: (A) MTT in respect of Part B.3 and D.3 of the Project; (B) SECTRA in respect of Parts A.1 and A.2 and D.1 (jointly with MINVU) of the Project; (C) MINVU in respect of Parts D.1 (jointly with SECTRA) and Part D.3 of the Project (jointly with MTT); (D) SEREMITT-RM in respect of Part D.4 of the Project; and (E) SERVIU in respect of Part A.4 and Part F. of the Project, all with due diligence and efficiency and in conformity with appropriate economic, administrative, management, financial, engineering and education practicestransport, and sound social and environment environmental standards acceptable to the Association; and practices and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon The Borrower shall, through the provisions Committee of paragraph Ministers, during the implementation of the Project, maintain a Project coordination unit (PCU) in Transantiago-SE, with functions and responsibilities satisfactory to the Bank, at all times headed by a Project coordinator and assisted by staff in adequate numbers, all with qualifications and experience acceptable to the Bank. (a) of this Section and except as the Recipient and the Association shall otherwise agree, the Recipient shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. (b) The Borrower shall update the Procurement Plan in accordance with guidelines acceptable to the Bank, and furnish such update to the Bank not later than 12 months after the date of the preceding Procurement Plan, for the Bank’s approval. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shallThe Borrower shall cause Transantiago-SE to: (a) maintain policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with the Performance Indicators, the carrying out of the Project and the achievement of the objectives thereof; (b) prepare, on the basis under terms of guidelines acceptable reference satisfactory to the AssociationBank, and furnish to the Association Bank, not later than six (6) twelve months after the Closing Effective Date or and yearly thereafter during the period of Project implementation, a report integrating the results of the evaluation activities performed pursuant to paragraph (a) of this Section, on the progress achieved in the carrying out of the Project during the period preceding the date of such later date as may be agreed for this purpose between report and setting out the Recipient measures recommended to ensure the efficient carrying out of the Project and the Association, a plan for the continued achievement of the Project’s objectivesobjectives thereof during the period following such date; and (c) (i) review with the Bank, within no more than two months after each such report’s preparation, the reports referred to in paragraph (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said plan.of this Section; and

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MSP with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering financial and education health practices, and sound social and environment standards acceptable to in accordance with the Association; Project Implementation Manual, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Without any limitation upon the provisions of Section 3.01 of this Agreement, the Borrower shall, for the purposes of making available its counterpart contribution to the financing of the Project: (a) open and thereafter maintain an account in CFAF (the Project Account) in CAA on terms and conditions satisfactory to the Association; (b) deposit into the Project Account an initial contribution of CFAF three hundred fifteen million (CFAF 315,000,000); (c) thereafter, not later than March 31, 1997, ▇▇▇▇▇▇▇▇▇ said account at least on a quarterly basis, or whenever its balance shall be less than the equivalent of CFAF two hundred million (CFAF 200,000,000); and (d) ensure that amounts deposited into the Project Account shall be used exclusively to make payments to meet expenditures made or to be made in respect of the reasonable cost of goods and services for the Project. Section 3.03. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.033.04. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.05. The Borrower shall: (a) not later than December 31, 1997, furnish to the Association for its review and approval, an action plan, prepared on the basis of criteria satisfactory to the Association, defining the specific actions to be taken to substantially increase the accounting autonomy and financial management capacity of local public sector health care providers; and (b) thereafter, carry out said action plan with due diligence and efficiency and in accordance with appropriate financial management practices. Section 3.06. Taking into account its review and validation of treatment algorithms for diseases other than STD, the Borrower shall, not later than June 30, 1997, adopt and publish national guidelines for syndromic diagnosis and treatment of sexually transmitted diseases.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering financial and education public health practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan. Section 3.04. In carrying out the Project, the Borrower shall, until completion of the Project, maintain a system, satisfactory to the Association, which shall provide for the flow of funds to the BMCs for the purposes of carrying out parts of the Project in their areas. Section 3.05. In carrying out capital investments under the Program, the Borrower shall take all measures necessary to ensure that contracts for such investments are awarded in accordance with the Process for the Definition and Review of Capital Projects.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MOH with due diligence and efficiency and in conformity with appropriate clinical, administrative, management, financial, engineering technical and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to this Agreement, and the Credit AgreementImplementation Plan. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, on the basis of guidelines acceptable to the Association, The Borrower and furnish to the Association shall, not later than six June 30, 1997, undertake, in conjunction with other interested donors, a midterm review of the Project, during which they shall exchange views generally on all matters relating to the progress of the Project and the performance by the Borrower of its obligations under this Agreement; including, but not limited to: (6i) months after a review of the Closing Date or such later date as may be achievements of the Project, having regard to performance indicators agreed for this purpose upon between the Recipient Borrower and the Association, a plan for ; (ii) the continued achievement implementation and management aspects of the Project’s objectives; and (biii) afford implementation procedures in each district; (iv) performance and use of technical assistance personnel; (v) the Association a reasonable opportunity to exchange views with role of national counterpart staff; (vi) the Recipient on said plan.status and results of training;

Execution of the Project. (a) The Recipient KPLC declares its commitment to the objectives of the Project as set forth in Schedule 2 to this the Development Credit Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, end it shall carry out Parts A.1, A.5, B.1 (b), B.3, B.5, B.10 and D the Project through its Ministry of Education; set forth in Schedule 2 to the Development Credit Agreement with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering and education public utility and environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall provide or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the carrying out said Parts of the Project.; (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Association and the Association KPLC shall otherwise agreeagree in consultation with the Borrower, the Recipient KPLC shall carry out Parts A.1, A.5, B.1 (b), B.3, B.5, B.10 and D of the Project set forth in Schedule 2 to the Development Credit Agreement in accordance with the Implementation Program set forth in Schedule 4 to the Development Credit Agreement and the provisions of this Agreement, and to this end, KPLC shall obtaine authority from the Borrower to manage and operate Special Account C referred to in Part B of Schedule 1 to the Development credit Agreement. Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) A.1, A.5, B.1 (b), B.3, B.5, B.10 and B D of the Project set forth in Schedule 2 to the Development Credit Agreement and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Development Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.032.03. For the purposes Without limitation to its obligations under Section 2.01 of Section 9.08 of the General Conditions and without limitation theretothis Agreement, the Recipient KPLC shall: (a) prepareopen and maintain in Kenya Shillings, on until the basis completion of guidelines the Project, a Project Account in a commercial bank acceptable to the Association, under terms and furnish conditions satisfactory to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan to finance KPLC’s contribution to the expenditures for Parts A.1, A.5, B.1 (b), B.3, B.5, B.10 and D of the Project set forth in Schedule 2 to the Development Credit Agreement; (b) promptly make an Initial Deposit of no less than the equivalent of seventy thousand dollars ($70,000) in Kenya Shillings into the Project Account to finance KPLC’s initial contribution to the expenditures for Parts A.1, A.5, B.1 (b), B.3, B.5, B.10 and D of the Project set forth in Schedule 2 to the Development Credit Agreement; (c) deposit into the Project Account such amounts as are estimated to be required at any given time for the continued achievement ensuing three-month period and as shall be agreed upon between KPLC and the Association to finance KPLC’s contribution to the expenditures for Parts A.1, A.5, B.1 (b), B.3, B.5, B.10 and D of the Project’s objectivesProject set forth in Schedule 2 to the Development Credit Agreement; and (d) ensure that the funds deposited into the Project Account in accordance with paragraphs (b) afford and (c) of this Section shall be used exclusively to finance the Association a reasonable opportunity KPLC’s contribution to exchange views with the Recipient on said planexpenditures for Parts A.1, A.5, B.1 (b), B.3, B.5, B.10 and D of the Project set forth in Schedule 2 to the Development Credit Agreement which are not otherwise financed from the proceeds of the Credit. Section 2.04. (a) KPLC shall carry out the obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07 and 9.08 of the General Conditions (relating to insurance, use of goods and services, plans and schedules, records and reports, maintenance and land acquisition, respectively) in respect of the Project Agreement and Parts A.1, A.5, B.1 (b), B.3, B.5, B.10 and D of the Project set forth in Schedule 2 to the Development Credit Agreement.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives objective of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out out: (i) Parts A(1), A(2), A(3), B and C(1) of the Project through its Ministry of EducationWorks, Transport and Infrastructure; (ii) Parts A(4) and A(5) of the Project through its Ministry of Natural Resources and Environment; and (iii) Part C(2) of the Project through its Ministry of Finance, all with due diligence and efficiency and in conformity with appropriate administrative, managementfinancial, financialeconomic, engineering and education practices, technical practices and sound social and environment standards acceptable to the Association; environmental standards, and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(athe Project (except for Part A(4) and B of the Project Project) and to be financed out of the proceeds of the NZAID Grant Financing shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for to ensure the continued achievement of the Project’s objectivesobjective; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with the Strategy and an implementation action plan, satisfactory to the Bank, and appropriate administrative, management, financial, engineering administrative and education financial practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or goods and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Without limitation upon the purposes provisions of Section 9.08 Article IX of the General Conditions and without limitation theretoConditions, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, prepare and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan plan, of such scope and in such detail as the Bank shall reasonably request, for the continued achievement future operation of the Project’s objectives; and; (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan; and (c) thereafter, carry out said plan with due diligence and efficiency and in accordance with appropriate practices, taking into account the Bank’s comments thereon.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A and C (other than Parts C (1)(b), C(2)(b) and C(4)) of the Project through its Ministry of Education; and shall cause the Project Provinces to carry out Parts B, C(1)(b), C(2)(b) and C(4) thereof, all with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering technical and education practices, and sound social and environment standards acceptable to the Association; agricultural practices and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Projectpurpose. (b) Without limitation upon the provisions of paragraph (a) of this Section Section, and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project, or cause the Project to be carried out, in accordance with the Implementation Program set forth in Schedule 4 3 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.07 of the General Conditions and Section 9.08 of the General Conditions referred to in Section 1.02(c) of this Agreement, and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through the Directorate General of Community Empowerment of its Ministry of Education; Home Affairs and Regional Autonomy with due diligence and efficiency and in conformity with appropriate administrative, managementagriculture, financialengineering, engineering environmental, financial and education social practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.06 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the objectives of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, : (i) shall carry out Part C of the Project through its Ministry MOH; (ii) shall cause the Part A Provinces to carry out Part A of Educationthe Project; and (iii) shall cause the Part B Provinces to carry out Part B of the Project, all with due diligence and efficiency and in conformity with appropriate administrative, managementeconomic, environmental, financial, engineering health and education technical practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for resources, necessary or appropriate to enable the ProjectProject Provinces to perform such obligations. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project actions specified in accordance with the Implementation Program set forth in Schedule 4 to this Agreement in order to ensure proper implementation of the Credit AgreementProject. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for designed to ensure the continued achievement of the Project’s Project objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, managementfinancial, financialagricultural, engineering and education environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to the Credit this Agreement. Section 3.02. (a) Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services (other than the services of the consultants referred to in paragraph (b) below) required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan shall be governed by the provisions of Schedule 3 4 to this Agreement. (b) The Borrower shall, with respect to consultants’ services required to be employed for the Credit AgreementProject and to be financed out of proceeds other than the Loan, as consult with the Bank on the terms of reference for said provisions may be further elaborated in the Procurement Planconsultants. Section 3.03. For the purposes of Section 9.08 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and; (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrativeprivatization, management, financial, engineering financial and education administrative practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and and, except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For Except as the purposes of Section 9.08 Association shall otherwise agree, the Borrower shall, not later than 12 months after the Effective Date, submit to the Association an analysis of the General Conditions and without limitation thereto, the Recipient shall: (a) prepare, restrictions imposed by law on the basis conduct of guidelines business activities by women in Lesotho and adopt a time-bound action plan, acceptable to the Association, and furnish to alleviate those restrictions. Upon adoption of said action plan, the Borrower shall take all necessary action required for the implementation of said action plan in accordance with its terms. Section 3.04. Except as the Association not later than six (6) months after shall otherwise agree, the Closing Date or such later date as may be agreed for this purpose between Borrower shall establish and maintain, at least until the Recipient and the Association, a plan for the continued achievement completion of the Project’s objectives; and (b) afford , a private sector advisory group composed of senior-level government officials, the Association a reasonable opportunity to exchange views head of the Privatization Unit and key members of the private sector. The Borrower shall consult with the Recipient private sector advisory group at least twice yearly on said planthe implementation of the Program and related private sector development issues.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out the Project through its Ministry of Education; MARD, the Project Provincial People’s Committees and the Communes People’s Committees with due diligence and efficiency and in conformity with appropriate administrative, financial, forest protection and management, financialengineering, engineering agriculture, resettlement and education rehabilitation of Affected Persons, and environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 to the Credit this Agreement. Section 3.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the Association, a plan for the continued achievement future operation of the Project’s objectives, including source of funding and amounts required to cover recurrent costs; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient Borrower on said plan.

Execution of the Project. (a) The Recipient SLRA declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, the Development Credit Agreement and, to this end, without any limitation or restriction upon any of its other obligations under this Agreement, shall carry out Parts A (2) (b), A (3), B (1), C (1) and C (2) of the Project through its Ministry on behalf of Education; itself and Parts A (2) (b) and C (5) on behalf of the Borrower with due diligence and efficiency and in conformity with appropriate administrative, management, financial, engineering transport sector and education environmental practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the said Parts of the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Association and the Association SLRA shall otherwise agree, the Recipient SLRA shall carry out Parts A (2) (b) A (3), B (1), C (1), C (2) and C (5) of the Project in accordance with the Implementation Program set forth in the Schedule 4 to the Credit this Agreement. Section 3.022.02. Except as the Bank Association shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(aA (2) (b), A (3), B (1), C (1), C (2) and B C (5) of the Project and to be financed out of the proceeds of the NZAID Grant Credit shall be governed by the provisions of Schedule 3 5 to the Development Credit Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.032.03. For SLRA shall carry out the purposes of Section obligations set forth in Sections 9.03, 9.04, 9.05, 9.06, 9.07 and 9.08 of the General Conditions Condi- tions (relating to insurance, use of goods and without limitation theretoservices, plans and schedules, records and reports, maintenance and land acquisition, respectively) in respect of the Recipient shall:SLRA Project Agreement and Parts A (2) (b), A (3), B (1), C (1), C (2) and (C) (5) of the Project. Section 2.04. SLRA shall duly perform all its obligations under the Subsidiary Financing Agreement. Except as the Association shall otherwise agree, SLRA shall not take or concur in any action which would have the effect of amending, abrogating, assigning or waiving the Subsidiary Financing Agreement or any provision thereof. Section 2.05. (a) prepareSLRA shall, on at the basis request of guidelines acceptable to the Association, and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient and the Association, a plan for the continued achievement of the Project’s objectives; and (b) afford the Association a reasonable opportunity to exchange views with the Recipient on said planAssociation with regard to the progress of the Project, the performance of its obligations under this Agreement and under the Subsidiary Financing Agreement, and other matters relating to the purposes of the Credit.

Execution of the Project. (a) The Recipient Borrower declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to this end, without any limitation or restriction upon any of its other obligations under this Agreementshall, shall through MOA, carry out the Project through its Ministry of Education; with due diligence and efficiency and in conformity with appropriate administrative, managementeconomic, engineering, environmental, financial, engineering management, technical and education agricultural practices, and sound social and environment standards acceptable to the Association; and shall provide, and shall cause to be provided, promptly as needed, the funds, facilities, services services, personnel and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Recipient Borrower and the Association Bank shall otherwise agree, the Recipient Borrower shall carry out the Project in accordance with the Implementation Program set forth in Schedule 4 5 to this Agreement, the Credit AgreementProject Implementation Plan, the Accompanying Measures, the Environmental Assessment and the Environmental Management Plan. Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods, works, or works and consultants’ services required for Parts A.3(a) and B of the Project and to be financed out of the proceeds of the NZAID Grant Loan, shall be governed by the provisions of Schedule 3 4 to the Credit this Agreement, as said provisions may be further elaborated in the Procurement Plan. Section 3.03. For the purposes of Section 9.08 9.07 of the General Conditions and without limitation thereto, the Recipient Borrower shall: (a) prepare, on the basis of guidelines acceptable to the AssociationBank, and furnish to the Association Bank not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Recipient Borrower and the AssociationBank, a plan for the continued achievement future operation of the Project’s objectives; and (b) afford the Association Bank a reasonable opportunity to exchange views with the Recipient Borrower on said plan.
