Common use of Execution of this Letter Clause in Contracts

Execution of this Letter. The Borrower’s execution of this letter, its exercise of its rights and performance of its obligations thereunder and the transactions contemplated thereby do not and will not: (a) contravene any agreement, mortgage, bond or other instrument or treaty to which it is a party or which is binding upon it or any of its assets; (b) conflict with its memorandum and articles of association or any other constitutional documents; or (c) conflict with any applicable law or regulation. The Borrower has the power to enter into this letter and all corporate and other action required to authorise the execution of this letter and the performance of its obligations thereunder has been duly taken. No limit on its powers will be exceeded as a result of the borrowing or other assumption of obligations, or any grant of security or giving of indemnities, contemplated by this letter.
