Common use of Exercise of Appraisal Rights Clause in Contracts

Exercise of Appraisal Rights. The holders of no more than two (2) percent of the issued and outstanding shares of Paragon Common Stock will have exercised appraisal rights under the Nevada Law as Dissenting Shareholders. Icoworks and Paragon will have resolved all matters of appraisal and payment under the Nevada Law for each Dissenting Shareholder to Icoworks' satisfaction.
