Common use of Exercise of Ordinary Share Equivalents Clause in Contracts

Exercise of Ordinary Share Equivalents. Notwithstanding anything to the contrary provided in this Agreement, the Company shall have no obligation to Register Registrable Securities which, if constituting Ordinary Share Equivalents, have not been exercised, converted or exchanged, as applicable, for Ordinary Shares as of the effective date of the applicable Registration Statement, but the Company shall cooperate and facilitate any such exercise, conversion or exchange as requested by the applicable Holder.

Exercise of Ordinary Share Equivalents. Notwithstanding anything to the contrary provided in this Agreement, the Company shall have no obligation to Register Registrable Securities which, if constituting Ordinary Share Equivalents, have not been exercised, converted or exchanged, as applicable, for Ordinary Shares as or have been deposited pursuant to the Deposit Agreement upon the issuance of the effective date of the applicable Registration StatementADSs, but the Company shall cooperate and facilitate any such exercise, conversion or exchange as requested by the applicable HolderInvestor.
