Common use of Exercise of Termination Right Clause in Contracts

Exercise of Termination Right. The rights of termination contained in Section 7 may be exercised by each of the Agents acting alone and are in addition to any other rights or remedies the Agents may have in respect of any of the matters contemplated by this Agreement or otherwise. Any such termination shall not discharge or otherwise affect any obligation or liability of the Corporation provided herein or prejudice any other rights or remedies any party may have as a result of any breach, default or non-compliance by any other party. In the event of any such termination by the Agents, there shall be no further liability on the part of the Agents to the Corporation or on the part of the Corporation to the Agents except in respect of any liability which may have arisen or may arise after such termination in respect of acts or omissions prior to such termination under Sections 10, 11 and 12.

In the event of any such termination by the AgentsAgent, there shall be no further liability on the part of the Agents any party to the Corporation or on the part of the Corporation this Agreement to the Agents any other party to this Agreement except in respect of any liability which may have arisen or may arise after such termination in respect of acts or omissions prior to such termination under Sections 109, 11 10 and 1211.

Any such termination shall not discharge or otherwise affect any obligation or liability of the Corporation provided herein or prejudice any other rights or remedies any party may have as a result of any breach, default or non-compliance by any other party. In If the event obligations of any such an Agent are terminated under this Agreement pursuant to the termination by rights provided for in Section 7, the Agents, there Corporation's liabilities to that Agent shall be no further liability on the part of the Agents limited to the Corporation or on Corporation’s obligations under the part indemnity, contribution and expense provisions of the Corporation to the Agents except in respect of any liability which may have arisen or may arise after such termination in respect of acts or omissions prior to such termination under Sections 10, 11 and 12this Agreement.
