Common use of Exercise of Voting Rights Clause in Contracts

Exercise of Voting Rights. Subject to paragraph (c) below, each Creditor (other than each Creditor Representative and each Arranger) agrees with the Intercreditor Agent and the Common Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group as instructed by the Intercreditor Agent.

Exercise of Voting Rights. Subject to paragraph (ca) below, each Each Creditor (other than each Creditor Representative and each Arrangerthe Collateral Agent) agrees with the Intercreditor Agent and the Common Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group as instructed by the Intercreditor Collateral Agent. (b) The Collateral Agent shall give instructions for the purposes of paragraph (a) above in accordance with any instructions given to it by the Instructing Group.

Exercise of Voting Rights. Subject to paragraph (cA) below, each Each Creditor (other than each Creditor Representative and each Arranger) agrees with the Security and Intercreditor Agent and the Common Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-pre insolvency or rehabilitation or similar proceedings relating to any member of the Group Obligor as instructed by the Security and Intercreditor Agent. (B) The Security and Intercreditor Agent shall give instructions for the purposes of paragraph (A) of this Clause 7.3 (Exercise of voting rights) as directed by an Instructing Group.

(b) The Security Agent shall give instructions for the purposes of paragraph (a) above in accordance with any written instructions given to it by the Instructing Group.

Subject to paragraph (ca) below, each Each Secured Creditor (other than each Creditor Representative and each Credit Facility Arranger) agrees with the Intercreditor Agent and the Common Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation rehabilitation, reorganization or similar proceedings relating to any member of the Group Company as instructed by the Intercreditor AgentCommon Security Agent.‌ (b) The Common Security Agent shall give instructions for the purposes of paragraph (a) above in accordance with any instructions given to it by the Instructing Group.

Subject to paragraph (ca) below, each Each Subordinated Creditor (other than each Creditor Representative and each Arranger) agrees with the Intercreditor Agent and the Common Security Agent that it Intra-Group Lender will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-pre insolvency or rehabilitation or similar proceedings relating to any member of the Group as instructed by the Intercreditor Security Agent. (b) The Security Agent shall give instructions for the purposes of paragraph (a) above in accordance with any instructions given to it by the Instructing Group.

Exercise of Voting Rights. Subject to paragraph (ca) below, each Each Creditor (other than each Creditor Representative the Agent and each an Arranger) agrees with the Intercreditor Agent and the Common Security Agent that it will will, unless prohibited by any law, rule or regulation to which such Creditor is subject, cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of Debtor or the Group Parent as instructed by the Intercreditor Security Agent. (b) The Security Agent shall give instructions for the purposes of paragraph (a) above in accordance with any instructions given to it by the Majority External Creditors.

Subject to paragraph (ca) below, each Each Creditor (other than each Creditor Representative and each Arrangera Primary Creditor) agrees with the Intercreditor Agent and the Common Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group as instructed by the Intercreditor Security Agent. (b) The Security Agent shall give instructions for the purposes of paragraph (a) above in accordance with any instructions given to it by the Instructing Group provided that any such instructions have been given in accordance with Clause 13.3 (Enforcement Instructions).

Subject to paragraph (ca) below, each Each Creditor (other than each Creditor Representative and each Arranger) agrees with the Intercreditor Agent and the Common Security Agent Trustee that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group Obligor as instructed by the Intercreditor AgentSecurity Trustee. (b) The Security Trustee shall give instructions for the purposes of paragraph (a) of this Clause 9.4 (Exercise of voting rights) as directed by an Instructing Group.

(b) The Common Security Agent shall give instructions for the purposes of paragraph (a) above in accordance with any instructions given to it by the Instructing Group.

Subject to paragraph (ca) below, each Each Creditor (other than each Creditor Representative and each Arranger) agrees with the Intercreditor Agent and the Common Security Agent that it will will, unless prohibited by any law, rule or regulation to which such Creditor is subject, cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group as instructed by the Intercreditor Security Agent. (b) The Security Agent shall give instructions for the purposes of paragraph (a) above in accordance with any instructions given to it by the Instructing Group.

Subject to paragraph (ca) belowTo the extent permitted or where provided for under applicable law, each Creditor Finance Party (other than each Creditor Representative and each Arrangerthe Facility Agent) agrees with the Intercreditor Agent and the Common Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group Borrower as instructed by the Intercreditor Security Agent. (b) The Security Agent shall give instructions for the purposes of paragraph (a) above in accordance with any instructions given to it by the relevant Lenders.

Exercise of Voting Rights. Subject to paragraph (ca) below, each Each Creditor (other than each Creditor Representative and each Arranger) agrees with the Intercreditor Agent and the Common Security Agent that it will to cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation Bankruptcy Event or similar proceedings relating to any member of the Group Member solely as instructed directed by the Intercreditor Security Agent. (b) The Security Agent shall give directions for the purposes of paragraph (a) of this Section as directed by the Majority Primary Creditors.

Exercise of Voting Rights. Subject to paragraph (c) below, each Each Intra-Group Lender and Subordinated Creditor (other than each Creditor Representative and each Arranger) agrees with the Intercreditor Agent and the Common Security Agent that it will cast its vote in any proposal put to the vote by or under the supervision of any judicial or supervisory authority in respect of any insolvency, pre-insolvency or rehabilitation or similar proceedings relating to any member of the Group as instructed by the Intercreditor Security Agent, and the Security Agent shall give instructions for these purposes in accordance with any instructions given to it by the Majority Instructing Creditors.
