EXHIBIT DETAILS. 7.1 The Licensee shall operate the Exhibit(s) on the Operation Days, during the hours of the Event. 7.2 The Licensee may enter Explore Edmonton’ Grounds to set up the Exhibit prior to the Operation Days at the discretion of Explore Edmonton and must have completed its move-in within the allotted time period as confirmed by Explore Edmonton. 7.3 The Licensee shall remove the Exhibit and vacate Explore Edmonton’ Grounds at the conclusion of the Event and in no event later than 10:00 a.m. on Aug 2, 2023. The Licensee shall not vacate Explore Edmonton’ Grounds until the conclusion of the Event unless otherwise directed by Explore Edmonton. 7.4 Explore Edmonton shall indicate to the Licensee its specific move-in and move-out times and confirm the location of the Exhibit prior to move-in. The Licensee shall not operate the Exhibit outside the Exhibit space allocated to the Licensee. Explore Edmonton may relocate the Exhibit to a location other than the confirmed Exhibit location, at Explore Edmonton’ sole discretion. 7.5 The Licensee shall not sell, offer or display any product other than the products indicated on the Application at the price(s) indicated on the Application without the express written consent of Explore Edmonton. 7.6 The Licensee shall process every sale of the Product through a cash register approved by Explore Edmonton and that meets Explore Edmonton’ requirements, if any.

The Licensee shall not vacate the Edmonton EXPO Center Grounds until the conclusion of the Event unless otherwise directed by the Canadian Country Expo organizers. 7.4 The Canadian Country Expo organizers shall indicate to the Licensee its specific move-in and move-out times and confirm the location of the Exhibit prior to move-in. The Licensee shall not operate the Exhibit outside the Exhibit space allocated to the Licensee.   • EXHIBIT E Contractor agrees to maintain business records documenting its compliance with the HSP and to submit a monthly compliance report to University in the format required by the Statewide Procurement and Statewide Support Services Division of the Texas Comptroller of Public Accounts or successor entity (collectively, SPSS). Submission of compliance reports will be required as a condition for payment under this Agreement. If University determines that Contractor has failed to subcontract as set out in the HSP, University will notify Contractor of any deficiencies and give Contractor an opportunity to submit documentation and explain why the failure to comply with the HSP should not be attributed to a lack of good faith effort by Contractor. If University determines that Contractor failed to implement the HSP in good faith, University, in addition to any other remedies, may report nonperformance to the SPSS in accordance with 34 TAC §§20.285(g)(5), 20.585 and 20.586. University may also revoke this Agreement for breach and make a claim against Contractor.
