Common use of Expenses of Delivery of Warrants Clause in Contracts

Expenses of Delivery of Warrants. The Company shall pay all expenses, taxes (other than transfer taxes), and other charges payable in connection with the preparation, issuance and delivery of new Warrants hereunder. Notwithstanding the foregoing, the Company shall not be responsible for the payment of federal, state or local income taxes for the Holder hereof for which the Holder is or may become liable for as a result of the exercise of this Warrant or the issuance of Warrant Shares as a result of such exercise.
