EXPENSES RELATING TO THE CONTRIBUTION, INITIAL PUBLIC OFFERING AND THE DISTRIBUTION. Except as otherwise provided in this Agreement, the Master Separation Agreement, any of the other Ancillary Agreements or any other agreement between the parties relating to the Contribution, the Initial Public Offering or the Distribution, all costs, fees and expenses in connection with the Contribution and the Initial Public Offering incurred on or after May 28, 2000 and the fees payable to the investment banking firm engaged by Methode and Stratos in connection with the Distribution shall be paid by Stratos and all costs, fees and expenses in connection with the Contribution and the Initial Public Offering incurred prior to May 28, 2000 and all other costs, fees and expenses in connection with the Distribution shall be paid by Methode; PROVIDED, HOWEVER, that any internal costs incurred by either party or an Affiliate thereof shall be paid by the party that incurs such costs.
