KPMG LLP, who has audited the financial statements of the Company and its Subsidiaries that are incorporated by reference in the Registration Statement and the Prospectus and has audited the Company’s internal control over financial reporting and management’s assessment thereof, is an independent registered public accounting firm as required by the Securities Act and the rules and regulations of the Commission promulgated thereunder and the Public Company Accounting Oversight Board;
