Facility Obligations. The Facility must, during the Term: (a) ensure that any resident of the Facility whose health records may or will be accessed by the Provider, has provided consent (either themselves or by way of a person who has the legal authority to provide that consent) to that access, and the use of those records by, the Provider and the Pharmacy Programs Administrator and Department of Health and Aged Care for the purpose of the QUM Services, before that access and use; (b) cooperate with the Provider, including by providing the Provider, their Credentialed Pharmacist or Registered Pharmacist with access to the following when reasonably required by the Provider, their Credentialed Pharmacist or their Registered Pharmacist, for the purpose of the Provider, their Credentialed Pharmacist or their Registered Pharmacist making available and providing QUM Services: (i) subject to paragraph (a), any information or documents that would assist the Provider, Credentialed Pharmacist or Registered Pharmacist in the provision of QUM Services; (ii) the Facility’s premises, including medication storage areas; and (iii) the staff of the Facility; (c) comply with all applicable workplace health and safety laws, and use all reasonable endeavours to ensure the Facility’s premises are safe for the Provider, and the Provider’s Credentialed Pharmacists and Registered Pharmacists, to work in; (d) comply with, and ensure that the Provider, their Credentialed Pharmacist or their Registered Pharmacist are made aware of, any principles made under section 96-1 the Aged Care Act 1997 (Cth) that are relevant to the parties’ performance of this Agreement; (e) keep a record of all recommendations provided by the Provider, their Credentialed Pharmacist or their Registered Pharmacist performing QUM Services; and (f) provide any assistance reasonably required by the Provider for the purpose of making a QUM Payment Application.

Facility Obligations. Facility shall keep all Proprietary Information confidential and shall not reproduce, duplicate, reveal, publish, transfer or disclose any Proprietary Information to anyone other than its employees with a “need to know” in the ordinary course and scope of their employment. Facility agrees to take at least the same precautions and measures to safeguard the secrecy and confidentiality of, and proprietary rights to, the Proprietary Information as it would with its own proprietary information and agrees not to disclose such Proprietary Information to any third party without IHA’s prior written consent. Appoint a person to serve for Facility as liaison (“Facility Liaison”) by the following procedure: Facility shall submit to University the name and professional and academic credentials of the person proposed as Facility Liaison in writing at least 30 days prior to the date the appointment is to become effective. University shall notify Facility of University’s approval or disapproval of such person within 10 days after receipt of such notice. No person shall act as Facility Liaison without the prior written approval of University. In the event the Facility Liaison approved by University later becomes unacceptable and University so notifies Facility in writing, Facility will appoint another person in accordance with the procedure outlined in this paragraph.
