Facsimile and Email Signatures. The use of facsimile signatures and signatures delivered by email in portable document format (.pdf) affixed in the name and on behalf of the transfer agent and registrar of the Partnership on certificates representing Common Units is expressly permitted by this Agreement.

The parties hereby agree that any signed copy of this Agreement that is properly transmitted by facsimile or email hereunder shall be deemed a signed writing and shall be deemed to constitute an original document for all legal purposes, and neither party shall contest the validity or enforceability of any such signed writing under any applicable law relating to whether certain agreements are to be in writing and signed by the party to be bound thereby. In order to expedite the transaction contemplated herein, telecopied and emailed signatures may be used in place of original signatures on this Agreement and on any documents executed in connection with the transaction contemplated by this Agreement. Seller and Purchaser intend to be bound by the signatures on the telecopied or emailed document, are aware that the other party will rely on the telecopied or emailed signatures, and hereby waive any defenses to the enforcement of the terms of this Agreement or of any documents executed in connection with the transaction contemplated by this Agreement based on the form of signature.
