Common use of Failure to Cooperate Clause in Contracts

Failure to Cooperate. If ▇▇▇▇▇ or Circor, as the case may be, -------------------- fails to provide any information requested pursuant to Section 7.06(b)(i), then the requesting party shall have the right to engage a public accountant of its choice to gather such information. ▇▇▇▇▇ and Circor agree to permit such public accountant full access to all appropriate records or other information in the possession of any member of the ▇▇▇▇▇ Affiliated Group or the Circor Affiliated Group, as the case may be, during reasonable business hours, and to reimburse or pay directly all costs and expenses in connection with the engagement of such public accountant.
