Failure to Provide Accurate Information. In the event that Borrower, any Guarantor, Indemnitor or Affiliated Manager (a) fails to timely provide any such reports, information, statements or other materials within five (5) days of Lender’s request , or (b) provides Lender with any such reports, information, statements or other materials which are inaccurate or false in any material respect, or (c) fails to permit Lender or its agents to inspect its books and records within five (5) days of Lender’s request, then for so long as each such occurrence described in the foregoing clauses (a) through (c) exists and in addition to Lender’s other remedies under the Loan Documents.   • Complete and Accurate Information Contractor represents and warrants that all statements and information provided to HHS are current, complete, and accurate. This includes all statements and information in this Contract and any related Solicitation Response.

  • Stockholder Has Adequate Information Stockholder is a sophisticated seller with respect to the Securities and has adequate information concerning the business and financial condition of the Company to make an informed decision regarding the sale of the Securities and has independently and without reliance upon either the Merger Sub or the Parent and based on such information as Stockholder has deemed appropriate, made its own analysis and decision to enter into this Agreement.
