Common use of Failure to Transfer Clause in Contracts

Failure to Transfer. Any Seller Party fails to either (i) transfer the Purchased Assets to Administrative Agent for the benefit of the applicable Buyer, or (ii) transfer the Contributed Assets to REO Subsidiary, subject to the additional qualifications with respect to Unrecorded REO Properties on or prior to the applicable Purchase Date (provided Administrative Agent, on behalf of the applicable Buyer, has tendered the related Purchase Price).

Failure to Transfer. Any Seller Party fails to either (i) transfer the Purchased Assets or pledge the Contributed REO Properties, as applicable, to Administrative Agent for the benefit of the applicable Buyer, Buyer or (ii) transfer the Contributed Assets to REO Subsidiary, subject Properties to the additional qualifications with respect to Unrecorded REO Properties Subsidiary on or prior to the applicable Purchase Date (provided the Administrative Agent, on behalf of the applicable Buyer, has tendered the related Purchase Price).

Failure to Transfer. Any Each Seller Party fails to either (i) transfer the Purchased Assets to Administrative Agent for the benefit of the applicable Buyer, Buyer (or (ii) transfer the Contributed Assets to REO Subsidiary, subject to the additional qualifications with respect to Unrecorded Contributed REO Properties, Contributed Rental Properties or Contributed Mortgage Loans, fails to transfer such Contributed REO Properties, Contributed Rental Properties or Contributed Mortgage Loans to a Seller Party Subsidiary) on or prior to the applicable Purchase Date (provided Administrative Agent, on behalf of the applicable Buyer, has tendered the related Purchase Price)Date.
