Fees and Expenses Associated with Requests. The applicable Collateral Pool Borrower shall pay, or reimburse Lender for, all reasonable out-of-pocket third-party costs and expenses incurred by Lender, including the out-of-pocket legal fees and expenses incurred by Lender in connection with the preparation, review and negotiation of all documents, instruments and certificates to be executed and delivered in connection with each Request for such Collateral Pool Borrower, the performance by Lender of any of its obligations with respect to the Request, the satisfaction of all conditions precedent to such Borrower’s rights or Lender’s obligations with respect to the Request, and all transactions related to any of the foregoing, including the cost of title insurance premiums and applicable recordation and transfer taxes and charges and all other reasonable costs and expenses in connection with a Request. The obligations of the applicable Borrower under this subsection shall be absolute and unconditional, regardless of whether the transaction requested in the Request actually occurs. The applicable Collateral Pool Borrower shall pay such costs and expenses to Lender on the Closing Date for the Request, or, as the case may be, after demand by Lender when Lender determines that such Request will not close.

The obligations of the applicable Borrower under this subsection shall be absolute and unconditional, regardless of whether the transaction requested in the Request such request actually occurs. The applicable Collateral Pool Borrower shall pay such costs and expenses to Lender on the Closing Date for the Requestrequest, or, as the case may be, after demand by Lender when if Lender determines that such Request request will not be approved or otherwise close.
