Common use of Fees, Commissions and Other Charges Clause in Contracts

Fees, Commissions and Other Charges. (i) The Borrower shall pay to the Administrative Agent, for the account of the applicable Issuing Bank and the L/C Participants, with respect to each Letter of Credit issued hereunder, a per annum letter of credit fee, as and to the extent set forth in Section 2.4(c) hereof. In addition, the Borrower shall pay to the applicable Issuing Bank, for its own account, an issuing fee, as set forth in Section 2.4(d) hereof, with respect to each Letter of Credit issued by it hereunder. (ii) In addition to the foregoing fees and commissions, the Borrower shall pay or reimburse the applicable Issuing Bank for such normal and customary processing or transactional fees as are incurred or charged by such Issuing Bank in issuing, effecting payment under, amending or otherwise administering any Letter of Credit issued by it. (iii) The Administrative Agent shall, promptly following its receipt thereof, distribute to the Issuing Banks and the L/C Participants all fees and commissions received by the Administrative Agent for their respective accounts pursuant to this Section 2.14(c), along with an accounting of the relevant calculations.

(iii) The Administrative Agent shall, promptly following its receipt thereof, distribute to the each Issuing Banks Bank and the L/C Participants all fees and commissions received by the Administrative Agent for their respective accounts pursuant to this Section 2.14(cSECTION 2.14(C), along with an accounting of the relevant calculations.
