Field Restrictions Clause Samples
The Field Restrictions clause defines the limitations and conditions under which a party may access, use, or operate within a specified physical or virtual area. Field Restrictions. During the Term, Indivior shall not, directly or indirectly (including through sublicensees and Affiliates), conduct activities with respect to Compounds, Licensed Compounds or Products outside of the Field and Addex shall not, directly or indirectly (including through licensees and Affiliates), conduct activities with respect to Compounds (except as expressly provided in this Agreement), Addex Retained Compounds or Addex Products within the Indivior Exclusive Field or, with respect to Licensed Compounds or Products, outside the Indivior Exclusive Field.
Field Restrictions. Advaccine hereby covenants that it shall not, and shall cause its Affiliates and Sublicensees not to, promote or encourage the use of the Products in the Advaccine Territory for any use outside the Field.

Hansoh hereby covenants that it shall not, nor shall it permit any Affiliate or sublicensee to, directly or indirectly, market, promote, detail, sell or offer for sale Licensed Products in the Hansoh Territory for any use outside the Field. Keros acknowledges and understands that Hansoh cannot control the ultimate use of Licensed Products it sells and that the purpose of the foregoing covenant is to prevent Hansoh and its Affiliates and sublicensees from facilitating or encouraging uses outside the Field.

Terns hereby covenants that it shall not, and shall cause its Affiliates and Sublicensees not to, promote or encourage the use of Licensed Products in the Terns Territory for any use outside the Field. Genfit acknowledges and understands that Terns cannot control the ultimate use of Licensed Products it sells.
Field Restrictions. 3D Medicines hereby covenants that it shall not, and shall cause its Affiliates and Sublicensees not to, promote or encourage the use of Licensed Products in the 3D Medicines Territory for any use outside the Field. Aravive hereby covenants that it shall cause other licensees to whom Aravive has granted a license to Develop, Manufacture and have Manufactured, distribute, market, promote, sell, have sold, offer for sale, import, label, package and otherwise Commercialize any licensed products in any fields other than the Field hereunder in the 3D Medicines Territory, not to promote or encourage the use of licensed products in the 3D Medicines Territory for any use in the Field.

Subject to Section 4.3, Luoxin hereby covenants that it shall not, nor shall it permit any Affiliate or sublicensee to, intentionally or knowingly, directly or indirectly, market, promote, detail, sell or offer for sale Licensed Products in the Luoxin Territory for any use outside the Field. Synergy acknowledges and understands that Luoxin cannot control the ultimate use of Licensed Products it sells and that the purpose of the foregoing covenant is to prevent Luoxin and its Affiliates and sublicensees from facilitating or encouraging uses outside the Field.

Apollomics hereby covenants that it shall not, nor shall it permit any Affiliate or sublicensee to, directly or indirectly, market, promote, detail, sell or offer for sale Licensed Products in the Apollomics Territory for any use outside the Field. GlycoMimetics acknowledges and understands that Apollomics cannot control the ultimate use of Licensed Products it sells and that the purpose of the foregoing covenant is to prevent Apollomics and its Affiliates and sublicensees from facilitating or encouraging uses outside the Field.
Field Restrictions. Launxp International hereby covenants that it shall not, and shall cause its Affiliates and permitted Sublicensees not to, promote or encourage the use of Licensed Products in the Launxp Territory for any use outside the Field.

Kaken hereby covenants that it shall not, and shall cause its Affiliates and Sublicensees not to, promote or encourage the use of Licensed Products in the Kaken Territory for any use outside the Field. Spruce hereby covenants that it shall cause other licensees to whom Spruce has granted a license to Develop, Manufacture and have Manufactured, distribute, market, promote, sell, have sold, offer for sale, import, label, package and otherwise Commercialize any Licensed Product in the Spruce Territory or Licensed Products in any fields other than the Field hereunder in the Kaken Territory, not to promote or encourage the use of Licensed Products in the Kaken Territory for any use in the Field.
Field Restrictions. During the Term, Indivior shall not, directly or indirectly (including through sublicensees and Affiliates), file for any IND or conduct clinical trials in humans with respect to Compounds, Licensed Compounds or Products outside of the Field and Addex shall not, directly or indirectly (including through licensees and Affiliates), file for any IND or conduct clinical trials in humans (except as expressly provided in this Agreement) with respect to, Addex Retained Compounds or Addex Products outside of the Reserved Indications.
