Filing and Recording of Documents. Buyer shall promptly file all appropriate forms, declarations or bonds with governmental agencies relative to its assumption of ownership of the Subsidiaries, and Seller shall cooperate with Buyer in connection with such filings. Seller shall not be responsible for any loss to Buyer because of Buyer's failure to file or record documents correctly or promptly.
